PURCHASE WILL NOT IMPROVE CHANCES OF WINNING

Eligibility: The Villa Maria Trip to New Zealand Sweepstakes (“Sweepstakes”) is open and offered only to legal residents of the 50 United States and District of Columbia, excluding Colorado and Utah, who are 21 years of age or older at the time of entry and have a valid passport. Employees of (i) Winebow (“Sponsor”), (ii) Arrowhead Sweepstakes & Fulfillment Co., Inc. (“Administrator”), (iii) Sponsor’s and Administrator’s respective subsidiaries, affiliates, advertising, or production agencies (collectively, “Sweepstakes Entities”), and (iv) their immediate family members and household members are not eligible. A licensed wholesaler, a licensed retailer, and their employees may also not participate in this sweepstakes. This sweepstakes is subject to all applicable federal, state, and local laws, and is void where prohibited or restricted by law.

Sweepstakes Period: The Sweepstakes begins on April 14, 2023 at 12:00:00 AM Eastern Time (“ET”) and ends on July 10, 2023 at 11:59:59 PM ET (“Sweepstakes Period”).

Agreement to Official Rules: By participating, entrant agrees to these Official Rules, as well as Sponsor’s and Administrator’s decisions, which are final and binding in all matters related to this Sweepstakes.

How to Enter: There are two ways to enter. (1) QR Code visit participating retailers where Villa Maria products are sold to find and scan the Sweepstakes QR code with your smart phone. Once you scan the QR code, follow the on-screen instructions to complete and submit the entry form to receive one (1) entry into the random drawing. OR (2) Online visit www.winwithvillamaria.com (“Website”) during the Sweepstakes Period, or find a banner ad online mentioning the Sweepstakes and click on the ad, which will bring you to the Website featuring the online entry form. Complete and submit the entry form to receive one (1) entry into the random drawing. Incomplete entries will not be accepted. Limit one (1) entry per person per day, regardless of the method of entry. All entries must be received by 11:59:59 PM ET on July 10, 2023 to be eligible for the random drawing. Multiple entrants are not permitted to share the same email address. Entries generated by script, macro, robotic, or by any other automatic or mechanical means are void.

Winner Selections There will be only one (1) grand prize winner (the “Winner”). The Winner will be selected by random drawing conducted by Administrator on or about July 11, 2023. The Prize can only be awarded to the person whose name is listed on the entry. In the event of a dispute as to the identity of an entrant, the entrant will be the authorized account holder of the provided email, Twitter, or Instagram account. Odds of winning depend on the number of eligible entries received during the Sweepstakes Period. The Winner will be notified by Administrator via email or phone on or about the day of the random drawing. Failure to respond to a Winner notification within forty-eight (48) hours will be deemed forfeiture of the Prize, and an alternate winner will be selected by random drawing of the remaining eligible entries. Sponsor is not responsible for text, email, or direct message notifications that are undeliverable, not received, or unanswered.

Verification of Potential Winner: As a condition of awarding the Prize, you consent to, within forty-eight (48) hours of the date notice/request, (1) provide satisfactory proof, as determined by Sponsor in its sole discretion, that you are an eligible entrant, including but not limited to providing a copy of your government-issued identification and/or additional information required by Sponsor, and (2) signing and returning to Administrator an affidavit of eligibility, publicity, and/or liability release (except where prohibited). If a potential winner is ineligible, fails to timely provide the requirements noted above, or declines the Prize, an alternate winner will be selected. The Winner also consents to Sponsor’s use of the Winner’s name, likeness, photograph, voice, opinions, hometown, state, and any other information submitted to Sponsor for promotional purposes in any media worldwide, without additional compensation, except where prohibited by law.

Prizes & Approximate Retail Values (“ARV”): One (1) Grand Prize – An 8-day/7-night trip (“Trip”) for two (2) people at least 21 years old to New Zealand (the “Prize”). Trip includes roundtrip coach airfare for two (2) people from a major airport closest to Winner’s residence (as approved by Sponsor in its sole discretion) to a Sponsor-specified airport in New Zealand; seven (7) nights hotel accommodations (single standard room/double occupancy) at a Sponsor-specified hotel; and one thousand two hundred dollars ($1,200.00) total in spending money. Approximate retail value (“ARV”) is ten thousand dollars ($10,000.00). Any difference between the stated ARV and actual ARV will not be awarded. Valid passports and a credit card is required upon hotel check-in. THE WINNER ACCEPTS THE PRIZE “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED (INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE). Sweepstakes Entities have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the Prize.
Winner and Winner’s guest are solely responsible for any costs and expenses of the Trip not specified as included in these Official Rules, including but not limited to tips, meals, souvenirs, local and long-distance telephone calls, laundry, insurance, baggage fees, ground transportation, parking, and other personal expenses associated with the Trip. Winner and Winner’s guest are solely responsible for ground transportation to and from the departure airport, as well as between the destination airport and the New Zealand hotel. No prize substitution, cash substitution, or assignment or transfer of the Prize is permitted, except by Sponsor for reason of unavailability, in which case a prize of equal or greater value will be awarded. Federal, state, and local taxes on the Prize (if applicable) are the sole responsibility of the winner. Alcohol is not part of the Prize.
Winner and Winner’s guest must be available to travel prior to April 30, 2024, or else the Prize will be forfeited in its entirety without compensation. Winner and Winner’s guest must travel together on a specified itinerary, including same departure date, destination, and return date, or Prize may be forfeited in its entirety. Winner and Winner’s guest are solely responsible for obtaining and traveling with photo identification and any other documentation and abiding by any other rules required for travel. The Sweepstakes Entities (defined in Official Rule #1) are not liable for any expenses due to flight cancellation/delay. There shall be no compensation or prize substitution if Winner and/or Winner’s guest are unable to take the Trip by reason of illness, family emergency, personal events, terrorism, labor strikes, weather issues, epidemic, or any other reasons beyond Sponsor’s control. There shall be no compensation or prize substitution if the Trip, even in part, is cancelled or rescheduled for any reason, except that Sponsor may reschedule the entire Trip in its entirety with sufficient lead time to reschedule Trip elements, as determined by Sponsor in its sole discretion. Sponsor may also substitute the Prize, or portion thereof, for one of equal or greater value at Sponsor’s sole discretion. Winner’s guest must be at least 21 years of age or older with a valid U.S. passport and along with the Winner, must sign an affidavit of eligibility, publicity, and/or liability release (except where prohibited) prior to and as a condition of issuance of the Prize. IMPORTANT NOTICE REGARDING PASSPORT REQUIREMENTS FOR INTERNATIONAL TRAVEL: All international travelers must present a government-issued passport for U.S. Customs re-entry after air, land, or sea travel. Married or divorced women traveling under names other than what is printed on their travel documents must supply a marriage license and/or divorce decree.

General Conditions and Release: By entering and/or participating, all entrants (including the Winner), on behalf of themselves and their executors, heirs and assigns hereby agree to: (a) release and hold harmless Sweepstakes Entities, Twitter, and Instagram from any and all liability, claims, or actions of any kind whatsoever for injuries, damages or losses of any kind to persons or property, including death and bodily injury, which may be sustained in connection with the conduct or outcome of the promotion or the receipt, ownership, or use or misuse of any prize awarded; (b) indemnify, defend, and hold harmless the Sweepstakes Entities from and against any and all claims arising from the foregoing, and (c) indemnify and hold harmless Sweepstake Entities from and against any and all claims arising from the acts or omissions of entrant, Winner, or Winner’s guest. Under no circumstances will Sweepstake Entities be liable for punitive, incidental, consequential, or special damages (including lost profits) or any other damages in excess of actual out-of-pocket costs incurred (if any) not to exceed twenty five dollars ($25), and in no event will attorneys’ fees be awarded or recoverable.

General Conditions: Sponsor reserves the right to cancel, suspend, and/or modify the Sweepstakes, or any part of it, for any reason whatsoever. The decisions of Sponsor are final with respect to all aspects of the promotion. Except where prohibited, all disputes arising out of or connected with this Sweepstakes will be resolved on an individual basis by binding arbitration subject to the rules of the American Arbitration Association and shall be governed by, and construed in accordance with, the laws of New York. The arbitrator’s decision and award will be final and binding and judgment on the award may be entered in any court with jurisdiction. Notwithstanding the foregoing, the Sweepstakes Entities shall be entitled to seek injunctive relief in the state and federal courts of New York. The invalidity or unenforceability of any portion or provision of these Official Rules will not affect the validity or enforceability of any other provision. If any provision of the Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. If there is a discrepancy between these Official Rules and any other promotion materials, the Official Rules will control and govern this sweepstakes. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Sponsor reserves the right in its sole discretion to disqualify any entrant it finds to be tampering with the entry process or the operation of the Sweepstakes, or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner.

PRIVACY: Sweepstakes Entities will collect, use, and disclose the personal information entrant provides when entering the Sweepstakes solely for the purposes of administering the Sweepstakes, and by entering this Sweepstakes entrant consents to the collection, use, disclosure, and management of entrant’s personal information for such purposes. All personal information that entrant submits will be subject to Sponsor’s privacy policy. In the event of any discrepancy between Sponsor’s privacy policy and these Official Rules, the privacy policy will govern and control.
