Official Rules

Void Where Prohibited.

NO PURCHASE NECESSARY. A PURCHASE OR PAYMENT
OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. Subject to all federal, state and local laws, regulations and ordinances.

1. Eligibility: The Sony Millions and More Giveaway (the “Sweepstakes”)
is open only to
permanent legal residents of the fifty (50) United States (and the District of
Columbia) who are at the time of entry (i) physically located
and residing therein (ii) at least eighteen (18) years old., and (iii) Sony
Rewards members.  Employees of Sony Electronics Inc., Card Marketing & Services
Company (“Sponsor”), Comenity Bank, Merkle Inc. (“Administrator”),
and their parent and affiliate companies, their advertising or promotion
agencies, those individuals involved in or associated with the production,
design, printing, development, implementation, or handling of this Sweepstakes,
any agents acting for, or on behalf of the above entities, the above entities’
respective parents, subsidiaries, affiliates, licensees, service providers and
related companies, and all such entities’ officers and directors (“Sweepstakes
Entities”) as well as the immediate family (spouses, domestic partners, parents,
siblings, grandparents, children, and the “step” of each) and household members
of each such employee, whether or not related, are not eligible to participate
in this Sweepstakes. The Sweepstakes is subject to all applicable federal,
state, and local laws and regulations. It is void in Guam, Puerto Rico,
and all other U.S. and foreign territories and possessions and where prohibited. In order to win any prize valued at $600
or greater, you must (i) have a valid social security
number or a valid U.S personal tax identification and (ii) sign and return a
Declaration (as defined in Section 6). Participation constitutes Entrant’s
full and unconditional agreement to these Official Rules. Sponsor’s and
Administrator’s decisions are final and binding in all matters related to the
Sweepstakes.  Winning a prize is
contingent upon fulfilling all requirements set forth herein.

3. Timing: The
Sweepstakes begins on February 1, 2023, at 12:00 a.m. Pacific Time (“PT”)
and ends on February 28, 2023 at 11:59 p.m. PT (the “Promotion Period”).  During the Promotion Period, Sponsor will
conduct twenty (20) drawings, one on each weekday (“Weekday Drawings”) during
the Promotion Period.  Weekdays
start at 12:00 a.m. PT and end at 11:59 p.m. PT, Monday through Friday. Sponsor’s
computer shall be the official time-keeping devices for the Sweepstakes.

4. How to Enter: During the Promotion Period, visit www.rewards.sony.com/millionsandmore and follow the links and
instructions to enter the Sweepstakes. You will be required to log in to your
Sony Rewards account. If you are not a Sony Rewards member, follow the links
and instructions to sign up. Membership in Sony Rewards is free and subject to
the Sony Rewards  Terms and Conditions and Privacy Policy. Once you compete these steps, you will become an entrant in the
Sweepstakes (“Entrant”), which means you will automatically receive one (1) entry into the Weekday Drawing* associated
with the date/time that you entered the Sweepstakes as well as all subsequent Weekday
Drawings during the Promotion Period unless you are selected as a potential winner.
If you are selected to win a prize, you will not be included in any further
Weekday Drawings.

*There are no drawings on the weekends; If you enter
the Sweepstakes on a weekend, your entry will be included in all subsequent
Weekday Drawings.

Earn Bonus Entries: After entering
the Sweepstakes and during the Promotion Period, you can earn up to two hundred
(200) bonus Sweepstakes entries by completing activities (“Bonus Activities”) or by completing an online registration
form (“Alternate Method”) as outlined below (collectively,
“Bonus Entries”). For each Bonus Activity
completed for the first time after becoming an Entrant, you will receive fifty
(50) Bonus Entries in the Weekday Drawing associated with the date/time a Bonus
Activity or Alternate Method is completed (or the following Monday if the Bonus
Activity or Alternate Method is completed on the weekend) and in all subsequent
Weekday Drawings.

If you previously completed any of the Bonus Activities prior to
entering the Sweepstakes, including while signing up for the Sony Rewards
program to enter this Sweepstakes, you will not receive 50 Bonus Entries for completing
that Bonus Activity and must complete the Alternate Method outlined below. The Alternate
Method to earn Bonus Entries is available if you completed a Bonus Activity prior
to entering the Sweepstakes or who wish to earn Bonus Entries without
completing the Bonus Activities.

Four (4) Bonus
Activities:  If you use your mobile phone to
complete a Bonus Activity, standard data charges from your
wireless carrier may apply: 

i. Bonus Activity 1: Download and log
in to the Sony Rewards App: Download the Sony Rewards mobile
application (“Sony Rewards App”) for the
first time to your mobile device or tablet and log in to your Sony Rewards
account. The Sony Rewards App is available at no charge on Google Play and the Apple
App Store. Once you successfully download and log in to the Sony Rewards App,
you will receive fifty (50) Bonus Entries.

ii. Bonus Activity 2: Link a Movies
Anywhere account to your Sony Rewards account: You must
have a Movies Anywhere account to complete this Bonus Activity and you can sign
up for a free Movies Anywhere account by visiting www.moviesanywhere.com. A Movies Anywhere account is subject to the
Movies Anywhere Terms and Conditions (https://moviesanywhere.com/terms-of-use) and Privacy Policy (https://moviesanywhere.com/privacy-policy). Once a
Movies Anywhere account has been created, you can link your Movies Anywhere
account to your Sony Rewards account by visiting  https://www.rewards.sony.com/earn/digital-movies-and-discs/ and following
the instructions provided. After you successfully link your Movies Anywhere and
Sony Rewards accounts for the first time, you will receive fifty (50) Bonus
Entries.

iii. Bonus Activity 3: Link a Sony
Store account to your Sony Rewards account: You must have an account at
electronics.sony.com (“Sony Store”). You
can sign up for a Sony Store account by visiting https://www.rewards.sony.com/sony-direct.html and following the instructions to sign in to your Sony Store account (or
register for a Sony Store account), and then link it to your Sony Rewards
account. After you successfully link your Sony Store and Sony Rewards accounts
for the first time, you will receive fifty (50) Bonus Entries.

iv. Bonus Activity 4: Opt-In to email
communications from Sony Rewards from Bonus Entry URL:  You must visit https://www.rewards.sony.com/optinemail-communication (“Bonus Entry URL”) and follow the instructions to opt-in to
Sony Rewards email communications. If you previously opted-in to email
communications from Sony Rewards, you will be advised that you have not earned fifty
(50) Bonus Entries.  You may earn these Bonus
Entries by using the Alternate Method. NOTE: You must opt-in to email communications by visiting the Bonus Entry
URL in order to earn Bonus Entries. You cannot opt-in to email communications from
the “My Account” page on Sony Rewards to complete Bonus Activity 4.

Alternate Method to receive Bonus Entries:

Visit https://www.rewards.sony.com/alternate-bonus-entries.html (“Alternate Method URL”) and complete the Alternate
Method form. You must provide your full name and the email address associated
with your Sony Rewards account. You can request Bonus Entries for all four (4) Bonus
Activities listed above. You will receive fifty (50) Bonus Entries for each
Bonus Activity you select on the Alternate Method form, up to two hundred (200)
Bonus Entries. You will only receive 50 Bonus
Entries via the Alternate Method for each Bonus Activity if you did not
complete that Bonus Activity as described above after entering the Sweepstakes. NOTE:  You will not receive any messaging when you
complete the Alternate Method confirming that you earned Bonus Entries.

Limit: Each Entrant may receive up to two
hundred one (201) total Sweepstakes entries during the
Promotion Period by registering and earning all Bonus Entries. You can earn
Bonus Entries for each Bonus Activity either by completing the applicable Bonus
Activity or using the Alternate Method. Multiple Entrants are not permitted to
share the same email address. Any attempt by any
Entrant to use multiple/different email addresses, identities, registrations
and logins, or any other methods in an attempt to defraud the entry process or
gain additional entries will void all of that Entrant’s entries and that
Entrant may be disqualified in Sponsor’s sole discretion. Use of any automated system or devices to participate is
prohibited and will result in disqualification. In the event of a dispute as to
any entry, the authorized account holder of the email address used to enter will
be deemed to be the Entrant. The “authorized account holder” is the natural
person assigned an email address by an internet access provider, online service
provider or other organization responsible for assigning email addresses for
the domain associated with the submitted address.  Each potential winner may be required to show
proof of being the authorized account holder or forfeit the prize. Entries that
are incomplete, illegible, corrupted, false, lost, late or misdirected,
deceptive, or otherwise not in compliance with these Official Rules may be
disqualified from the Sweepstakes at Sponsor’s sole and absolute discretion.
All potential winners are subject to verification before any prize will be
awarded. Normal Internet access, phone, and usage charges imposed by your
online or phone service may apply.

5. Prizes:  

The following prizes
will be awarded for each of the Twenty (20) Weekday Drawings:

ONE (1) Sony Rewards
Points Prize: Each winner will
receive one million (1,000,000) Sony Rewards points (added directly to winner’s
Sony Rewards account). Sony Rewards Points Prize has no value
outside of the Sony Rewards program.  Sony Rewards points have no cash value, and may not be
sold, transferred, or bartered. The one million (1,000,000) Sony
Rewards points awarded as part of each Sony Rewards Points Prize must be redeemed
within three hundred sixty-five (365) days from the date the points are added into
your Sony Rewards account, and are subject to the Sony Rewards Terms
and Conditions.
Unused Sony Rewards points will be forfeited if they are not redeemed within
the 365-day period after being added into your Sony Rewards account. Approximate Value (“AV”): $10,000.  A total of twenty (20) of these prizes will
be awarded during the Promotion Period.

FIVE (5) PlayStation® Store Code Prizes: Each winner will receive one (1) $5 PlayStation™
Store code (fulfilled to winner’s email as a digital code). ARV: $5.00. PlayStation™
Store code expires on March 1, 2024. A total of one hundred (100) of
these prizes will be awarded during the Promotion Period.

ONE (1) Sony Picture
Movie Bundle Prize: Each winner will
receive one (1) Bullet Train Blu-ray disc and one (1) The Woman King Blu-ray
disc. ARV: $47.00.  A total of twenty
(20) of these prizes will be awarded during the Promotion Period.

The following prizes
will be awarded ONLY for the stated Weekday Drawings (entries must be received
by the stated date as of 11:59 p.m. PT):

TWO (2) PLAYSTATION®5 CONSOLES (1 awarded for the 2/1/23 and 2/27/23
Weekday Drawings): Each winner will
receive one (1) PlayStation®5 gaming console. ARV: $499.00.

THREE (3) TV PRIZES (1
awarded for each of the 2/8/23, 2/20/23, and 2/28/23 Weekday Drawings): Each winner will receive one (1) BRAVIA XR
65″ Class X90K 4K HDR Full Array LED TV with Google TV. ARV: $1,499.00.

FIVE (5) SOUNDBAR PRIZES (1 awarded for each of
the 2/2/23, 2/6/23, 2/9/23, 2/16/23, and 2/22/23 Weekday Drawings): Each
winner will receive one (1) HT-S400 2.1ch Soundbar with Wireless subwoofer.
ARV: $300.00.

FIVE (5) WIRELESS EARBUDS
PRIZES (1 awarded for each of the 2/7/23, 2/13/23, 2/14/23, 2/15/23, and 2/21/23
Weekday Drawings): Each winner will
receive one (1) set of LinkBuds Truly Wireless
Earbuds (white). ARV: $180.00.

For All Prizes: The
actual value of a prize that is an electronic product is subject to price
fluctuations in the consumer marketplace based on, among other things, any gap
in time between the date the ARV is estimated for purposes of these Official
Rules and the date the prize is awarded or redeemed. Prizes
are non-transferable, and no transfer, substitution or cash equivalent will be
made, provided that Sponsor reserves the right, in its sole discretion, to
substitute a prize (or any component of a prize) for one of equal or greater
value due to unavailability or  for any other
reason. Sponsor reserves the right, in its sole discretion, to replace any
merchandise with a newer model or version of same; but, in such event, Sponsor
will continue to use the value of the “old” (i.e., replaced) item for purposes
of calculating the ARV. Any depiction of a prize, in Sweepstakes’ material or
otherwise, is for illustrative purposes only. Terms and conditions of
PlayStation™ Store codes apply. All expenses not specifically mentioned as being included
(e.g., any required installation, requested upgrades/options, subscriptions)
are excluded and are the prize winner’s sole responsibility. The prizes do not
include any warranty unless specifically stated otherwise. Sponsor will not
replace any lost or stolen prizes. All federal, state, or other tax
liabilities (including, but not limited to, income taxes) arising from winning
a prize in the Sweepstakes will be the sole responsibility of the prize winner.
Winners are responsible for all taxes and fees associated with prize receipt
and/or use. Odds of winning a prize depend on the number of eligible entries
received for each respective Weekday Drawing during the Promotion Period. Whether
the prize is used or not, the fair market value of prizes valued at $600 or
more awarded to winners will be reported on an IRS Form 1099, sent to both the winner and reported to the IRS, as required by law. Limit:
One (1) prize per person. Total AV of all prizes: $209,355.

6. Prize Drawings/Notification
of Winners: Administrator is an independent
organization whose decisions as to the administration and operation of the
Sweepstakes and the selection of the potential winners are final and binding in
all matters related to the Sweepstakes. On or around two (2) business days
following each Weekday Drawing, Administrator
will randomly select potential Sweepstakes winners for the applicable Weekday
Drawing from all eligible entries received. The potential winners
will be notified by email soon thereafter with prize claim instructions. Each potential winner of a prize valued at $600 or
more (or parent/legal guardian if winner is a minor in their state of
residence) will be required to sign and return a Declaration of Compliance,
Liability Waiver and where not prohibited a Publicity Release (“Declaration”)
which must be received by Administrator within three (3) days of the date
notice or attempted notice is sent, in order to claim the prize. Potential
winners of the Sony Picture Movie bundle, Wireless Earbuds, and PlayStation5 Gaming
Consoles will be required to provide their address information (P.O. Boxes not
permitted) within three (3) days of the date notice or attempted notice is
sent, in order to claim the prize. If a potential winner of
any prize cannot be contacted, fails to sign
and return the Declaration or provide any requested information within
the time periods indicated, or the applicable prize notification is returned as
undeliverable, the potential winner automatically forfeits the applicable prize. ALL POTENTIAL WINNERS
ARE SUBJECT TO VERIFICATION BY ADMINISTRATOR AND/OR SPONSOR, WHOSE DECISIONS
ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE SWEEPSTAKES. AN ENTRANT IS
NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL ENTRANT’S ELIGIBILITY HAS BEEN
VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE. Receiving a prize is
contingent upon compliance with these Official Rules. If the potential prize
winner is found to be ineligible for any reason, or if they cannot or do not
comply in full with these Official Rules or the Sony
Rewards Terms and Conditions, such potential prize winner will be disqualified.
In the event that a potential winner is disqualified for any reason or forfeits
the prize, Sponsor will award the applicable prize to an alternate winner by
random drawing from among all remaining eligible entries. Only three (3)
alternate drawings will be held, after which the prize will remain un-awarded. All verified winners will receive a link to a
questionnaire from Sponsor upon verification (“Questionnaire”), and all
Questionnaire responses will be subject to these Official Rules, specifically
Section 8. Questionnaire responses may be subject to additional terms and
conditions. Prizes
will be fulfilled approximately 8-10 weeks after the conclusion of the Sweepstakes.  

7.
Release: By participating in this
Sweepstakes, Entrants agree to release, discharge, indemnify, and hold harmless
Sponsor, Comenity Bank, Administrator, and their respective subsidiaries,
affiliates, parent companies, representatives, consultants, legal counsel, suppliers,
distributors, advertising, public relations, promotional, fulfillment and
marketing agencies, prize suppliers website providers, website administrators
and each of its and their respective officers, directors, employees,
representatives, and agents (collectively, the “Released Parties”) from
and against any and all liability and any losses/injuries of any kind
including, but not limited to, personal injury, death, or damage to or loss of
property, libel, invasion of the right of publicity, or defamation, resulting
or arising in whole or part, directly or indirectly from Entrant’s
participation in the Sweepstakes or acceptance, possession, receipt, use,  misuse or inability to use  any prize; human error; incorrect or
inaccurate transcription of any Sweepstakes entry information; any technical
malfunctions of the telephone network, computer online system, computer dating
mechanism, computer equipment, software, or internet service provider utilized
by this Sweepstakes or any Entrant; interruption or inability to access this
Sweepstakes, or any online service via the internet due to hardware or software
compatibility problems; any damage to Entrant’s (or any third person’s)
computer or mobile device and/or its contents related to or resulting from any
part of this Sweepstakes; any lost/delayed data transmissions, omissions,
interruptions, defects; and/or any other errors or malfunctions, even if caused
by the negligence of one of the Released Parties.

8. Publicity:
Except where prohibited by law, and notwithstanding anything to the contrary in
the Sony Rewards Privacy Policy, participation in the Sweepstakes constitutes
each Entrant’s and each prize winner’s consent to Sponsor’s and each of the Released
Parties’ use of each Entrant’s and/or prize winner’s name, likeness,
photograph, voice, opinions, Questionnaire responses, and/or hometown and state
for promotional purposes in any media, worldwide, including but not limited to (i)
posting on the Sony Rewards website and www.sony.com, including all such
websites’ microsites; (ii) posting on any of Sponsor’s and Sponsor’s
subsidiaries’ parents’ and affiliates’ social channels such as Facebook,
Instagram, and Twitter (and future social channels to be launched); (iii)
included in Sponsor’s channels including emails, newsletter, mobile app, SMS,
and print; and (iv) posting in buildings owned or operated by Sponsor or
Sponsor’s parents, subsidiaries or affiliates, now known or hereinafter
devised, in perpetuity, without further notice, permission or compensation, in
connection with this Sweepstakes, any prize awarded, and the advertising and
marketing thereof of Sponsor and its affiliates.

9. General Conditions: This Sweepstakes is subject to these
Official Rules and all federal, state, and local laws and regulations. Void where prohibited by law. WARNING: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL
TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH THIS SWEEPSTAKES OR
UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF
CRIMINAL AND CIVIL LAW, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES
THE RIGHT TO PROSECUTE AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT
PERMITTED BY LAW. Sweepstakes Entities are not responsible or liable for
Sweepstakes entries that are entered by other than human means (such as by an
automated computer program or any non-human mechanism, entity, or device), in
excess of the stated limits, illegible, late, destroyed, lost, misplaced,
stolen, misdirected, tampered with, incomplete, deleted, damaged,
mutilated,  interrupted, or unavailable
network, server, or other connections, garbled transmissions or
miscommunications, telephone transmission problems; computer or software
malfunctions or damage to a user’s computer equipment (software or hardware);
typographical or other error contained in the Official Rules or other
Sweepstakes-related material; technical failures; or other errors or malfunctions
of any kind whether human, mechanical, electronic, or otherwise not in
compliance with these Official Rules, and all such Sweepstakes entries will be
disqualified. Proof of sending or submission of entry will not be deemed proof
of receipt by Sponsor. Sponsor reserves the right to cancel, suspend and/or modify
the Sweepstakes, or any part thereof, if any fraud, technical failures, human
error, or any other factor, or any event or cause beyond Sponsor’s control
(e.g. events such as natural calamities, national emergencies, wide spread
illnesses, declarations of war, acts of God, acts of terrorism) impairs the
integrity or proper functioning of the Sweepstakes or interferes with any
aspect of the Sweepstakes, including but not limited to fulfillment of the
prize(s), as determined by Sponsor in its sole discretion. In such event,
Sponsor, in its sole discretion, may elect to hold a random drawing from among
all eligible entries received up to the date of discontinuance and may modify
the prizes offered herein. Sponsor reserves the right, in its sole discretion,
to disqualify any individual and/or Entrant (and void all associated entries)
or entitlement to a prize if Sponsor determines or suspects that the individual
and/or Entrant has attempted to undermine the legitimate operation of the Sweepstakes
by tampering, cheating, hacking, deception, or other fraudulent, deceptive or
unfair playing practices (including any entries generated by script, macro,
robotic, programmed, or any other automated means or any other means which
subvert the entry process) or attempting any of the foregoing. Sponsor reserves
the right, in its sole discretion, to disqualify any individual and/or Entrant
that Sponsor finds to be attempting to tamper with the entry process or the
operation of the Sweepstakes or to be acting in violation of these Official
Rules or the Sony Rewards Terms and Conditions, or acting in an unsportsmanlike
or disruptive manner. Sponsor’s failure to enforce any term of these Official
Rules shall not constitute a waiver of that provision. By accepting a prize, each prize winner attests to
their compliance with these Official Rules and, if applicable, by returning a
completed Declaration, each prize winner further attests to the provisions stated
therein.

10. Additional Terms/Limitations of Liability/Disclaimers: The Released Parties are not responsible
for: (1) any incorrect or inaccurate information, whether caused by Entrants,
printing or web-posting errors or by any of the equipment or programming
associated with or utilized in the Sweepstakes; (2) technical failures of any
kind, including, but not limited to malfunctions, interruptions, or
disconnections in phone lines or network hardware or software; (3) unauthorized
human intervention in any part of the entry process or the Sweepstakes; (4)
technical or human error which may occur in the administration of the
Sweepstakes or the processing of entries; (5) late, lost, undeliverable,
damaged or stolen delivery; or (6) any injury or damage to persons or property
which may be caused, directly or indirectly, in whole or in part, from
Entrant’s participation in the Sweepstakes or receipt or use or misuse of any prize.  If for any reason an Entrant’s entry is
confirmed to have been erroneously deleted, lost, or otherwise destroyed or
corrupted, Entrant’s sole remedy is another entry in the Sweepstakes, if it is
possible. No more than the stated number of prizes will be awarded.  In the event that production, technical,
seeding, programming or any other reasons cause more than the stated number of
prizes as set forth in these Official Rules to be available and/or claimed,
Sponsor reserves the right to award only the stated number of prizes by a
random drawing among all legitimate, un-awarded, eligible prize claims.

IN NO EVENT WILL RELEASED PARTIES BE
RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT,
INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR
PARTICIPATION IN THIS SWEEPSTAKES AND/OR ANY PRIZE AWARDED HEREUNDER. WITHOUT
LIMITING THE FOREGOING, EVERYTHING REGARDING THIS SWEEPSTAKES, INCLUDING THE
WEBSITE AND ALL PRIZES, ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND,
EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES
OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SOME
JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR
INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME
OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY. CHECK LOCAL LAWS FOR ANY
RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

Entrants also agree to be bound by
these Official Rules and decisions of Sponsor and/or Sponsor’s representatives,
which are final and binding in all respects, and waive any right to claim any
ambiguity in these Official Rules, Sony Rewards Terms and Conditions, Sony
Rewards Privacy Policy or any Sweepstakes materials.
The failure of Sponsor to comply with any provision of these Official Rules due
to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of
public enemies, actions of governmental authorities, epidemics, pandemics, or
any circumstance outside of the control of the Sponsor (excepting compliance
with applicable codes and regulations) or other force majeure event will not be
considered a breach of these Official Rules.

11.
Disputes: This Sweepstakes shall be construed
and governed according to the laws of the U.S. and the state of New York. Any
dispute, controversy, cause of action or claim arising out of, connected with
or relating to (i) this Sweepstakes; (ii) the
awarding or redemption of the prizes; and/or (iii) the determination of the
scope or applicability of these Official Rules or their enforcement or
interpretation (each a “Claim”), shall be governed by and construed in
accordance with the substantive laws of the state of New York without giving
effect to any choice of law or conflict of law rules or provisions that would
cause the application of any other state’s laws. Except where prohibited,
Entrants agree that any Claim will be resolved individually, without resort to
any form of class action. Entrants further agree that any Claim/judgment/award
shall be limited to actual out-of-pocket costs incurred, including costs
associated with participating in the Sweepstakes but in no event attorneys’
fees; and, under no circumstances, will Entrants or participants be entitled to
obtain awards for and hereby waives all rights to claim indirect, punitive,
incidental and consequential damages and any other damages, other than for
actual out-of-pocket expenses, and any and all rights to have damages
multiplied or otherwise increased. Should any term of this section be deemed by
a tribunal of competent jurisdiction void, unenforceable or contrary to law,
such term shall, but only to the extent necessary to bring this section within
the requirements of law, be deemed to be severed from the other terms of these
Official Rules, and the remainder of these Official Rules shall be given effect
as if it had not included the severed term herein. 

THE PARTIES HEREBY WAIVE THEIR RIGHT
TO A JURY TRIAL WITH RESPECT TO ALL CLAIMS AND ISSUES ARISING OUT OF OR
RELATING TO THESE OFFICIAL RULES WHETHER SOUNDING IN CONTRACT OR TORT.
