Promotion Name: Red Robin Bracket Challenge (the “Challenge”).
Challenge Dates: Challenge registration begins at 12:00 am EST on 3/1/2016 and ends at 12:00 pm EST on 3/17/2016 (the “Registration Period”). The Challenge winners will be determined after the Designated Tournament on 4/4/2016. Challenge is subject to all applicable federal, state and local laws and regulations.
Designated Tournament: 2016 Men’s College Basketball Tournament being played between 3/17/2016 – 4/4/2016, with the Semi-Final & Championship games to be held at the NRG Stadium in Houston, TX (the “Designated Tournament”).
Who May Enter: Challenge is open to legal residents of the 50 United States and District of Columbia who are the age of majority in their place of residence as of date of entry, and have a valid U.S. driver’s license or government issued ID, therefore entrants from all states meeting the eligibility requirements may be eligible to participate in the challenge, except where prohibited by applicable laws The following persons are not eligible to enter or win:
(a) Employees, officers, and directors of Red Robin International, Inc. (“Sponsor”), Million Dollar Media, LLC (the “Administrator”), each of their respective franchisees, parents, affiliated companies, subsidiaries, distributors, retailers, printers, advertising and promotion agencies, and any and all other person or entity associated with the design or execution of this promotion (collectively, “Released Parties”), and any of their immediate family members or members of their households, whether or not related, of any of the above. “Immediate family members” includes, for purposes of this promotion, parents, grandparents, siblings, children and grand children, whether biological, adopted, step or in-law, and each of their respective spouses, regardless of where they reside.
(b) Individuals who do not have access to an internet connection in order to visit the Challenge website or their own valid email address that remains active from registration through the completion of the Challenge, including the winner verification period.
(c) Residents of states where bracket challenges have been sanctioned and where prohibited or restricted by law.
How to Enter: Visit www.redrobinbracketchallenge.com (the “Challenge Website”) during the “Registration Period” to connect to the Challenge registration page. Fully complete the online registration with all required information, including your name, valid email address, and phone number (including area code). Each registrant will designate their own ‘Screen Name’, and must enter their username (email address) and password. The designated ‘Screen Name’ will be displayed on the ‘Standings Page’ during the Challenge. Each registrant’s username (email address) & password will allow entrants to return to the Challenge Website to Log-in and view their entries, points and standings.
After having read and agreed to these Official Rules, click the submit button to submit your on-line registration. All entries must be complete and include all required registration information. Any entry that is incomplete or submitted with an invalid email address will be disqualified. Limit one entry per person and email address during the Registration Period. If any entrant submits more than one entry, all entries submitted by that entrant will be void, and the entrant will be disqualified. All entrants must adhere to all local, regional, and national laws, orders, directives, ordinances, rules and regulations for all aspects of the challenge. Sponsor shall in no way be responsible for providing to entrants any advice or counsel, legal or otherwise, with regard to the challenge. Entrants acknowledge that they are participating in the challenge sponsored by Sponsor of their own accord and that participating in the challenge may look like an endorsement of Sponsor’s products. Entrants are responsible for noting that they entering the challenge for the purpose of winning a prize and not for the purpose of endorsing Sponsor’s products.
Eligible Entries – Open to eligible entries received by 12:00 pm EST on 3/17/2016: No entries received after 12:00 pm EST on 3/17/2016 will be considered, regardless of the accuracy of their submitted bracket.

NOTE – Play-in game byes: The play-in games on 3/15/2016 and 3/16/2016 are byes, and not part of the prediction challenge.
Bracket: Once the Designated Tournament team selections have been announced on 3/13/2016 and positioned in the official bracket (the “Official Bracket”) – all registered or newly registering entrants must fully complete the provided bracket form (the “bracket”) on the Edit/Update Picks page of the Challenge Website.
Tie-Breaker: Each entrant will also be required to submit their entry of the Total Cumulative Points to be scored in the Championship Game on 4/4/2016. Any entrant who fails to complete the Total Cumulative Points ‘tie-break’ will be assigned a point total of 0 cumulative points for the Championship Game.
Save Picks: Entrants are required to click the ‘Save Picks’ button on the Challenge Website to save their bracket selections, cumulative score or updates. Any changes or entries made without clicking the ‘Save Picks’ will not be saved or recognized for this Challenge.
Team Toggle (create bracket using Red Robin menu items): The Challenge Website includes a ‘Team Toggle’ button which allows entrants the option to create their entry by selecting different Red Robin menu items. Each menu item is designated a starting slot on the bracket and represents the actual team assigned to that slot on the Official Bracket for the Designated Tournament. The menu item will remain consistent with the team assigned to that same original slot in the Official Bracket. Once the ‘Save Picks’ button is clicked, the bracket will display the team selections that were made using the Team Toggle. All results in this Challenge will be solely based on the accuracy of the prediction of the entrant’s team (or menu item representing such team) compared to the official performance of the actual teams in the Designated Tournament . The Team Toggle option is for entertainment purposes only and will have no bearing on the scoring of the Challenge.
Completed bracket entries must be received by 12:00 pm ET on 3/17/2016 in order to be eligible to participate or win any prize. Any registered entrant who fails to fully or correctly complete the on-line registration form, or fully and correctly complete the required bracket for all (63) games in the Designated Tournament (and Save their picks) will be disqualified from the Challenge and will be ineligible to win any prize. Any registration or bracket not received by the required deadline for any reason including, but not limited to transmission error, internet problems, equipment or website malfunction, internet traffic or errors caused by viruses or hackers will be disqualified and Sponsor is not responsible for any such occurrences. Sponsor is not responsible for any delays or difficulty in receipt an eligible entrant’s Bracket that prevents participation.
Any incomplete or illegible entries will be disqualified. Released Parties are not responsible for lost, late, misdirected, illegible, incomplete, invalid, unintelligible, damaged, or for entries submitted in a manner that is not expressly allowed under these rules, or for any entry not submitted or received due to any technical error or failure, unauthorized human intervention, inaccurate capture or mis-entry of any required information, or the failure to capture any such information or effects of hackers or failure of any electronic equipment, computer or cellular transmissions and/or network connections; all of which will be disqualified.
Each entrant must submit an entry on his/her own behalf. Any entry submitted on behalf of another individual or using commercial subscription notification and/or entering services, or any entry using another person’s email address or name will be disqualified and ineligible to participate or win any prize. No mechanically reproduced or automated entries permitted. Use of any automated system to participate is prohibited and will result in disqualification and all such entries will be deemed void.
In the event of a dispute as to any on-line registration or entry, the authorized account holder of the e-mail address used to register will be deemed to be the registrant and he/she must be eligible according to these Official Rules. The “authorized email account holder” is the natural person assigned an e-mail address by an Internet access provider, online service provider or other organization responsible for assigning e-mail addresses for the domain associated with the submitted address. All entries received become the property of the Sponsor and will not be returned.
Scoring – Bracket Points: Each eligible entrant who has successfully completed the on-line registration and bracket as required by these Official Rules will receive the following points for each of the (63) games for which they have correctly determined the winning team:
1 point for each correct pick in Round 1
2 points for each correct pick in Round 2
3 points for each correct pick in Round 3
4 points for each correct pick in Round 4
5 points for each correct pick in Round 5
6 points for the correct Champion
Any incorrect entries will receive 0 points. The maximum point total for correctly determining the winning team in every game played during the Designated Tournament is 120 points. At the completion of the designated tournament, each eligible entrant bracket entry received will be compared to the Official Bracket outcome for the Designated Tournament.
Prize Awards: The following prize awards will be available to eligible entrants participating in the Challenge:
Grand Prize – Determine all (63) Games Correctly (“Perfect Bracket”): If any eligible entrant correctly determines the winners of all sixty-three (63) games in the Designated Tournament, they will win the Grand Prize subject to verification of eligibility and compliance with these Official Rules. The Grand Prize is: $1,000,000 paid out as a 40 year annuity with equal payments of $25,000 (present value annuity: $500,000). The first $25,000 will be paid within fourteen (14) days of verification of any/all winners, with each subsequent payment paid on the yearly anniversary of the first payment date. No lump sum payout will be available for award.
A maximum of one (1) Grand Prize will be awarded. In the event of multiple eligible and verified Grand Prize winning entries, the Grand Prize will be evenly divided between those eligible entrants who submitted a verified Grand Prize winning entry. In order for the Grand Prize to be awarded, an eligible entrant must submit an eligible entry that correctly determined the winners of all sixty-three (63) games in the Designated Tournament. If no eligible entrant correctly determines all 63 games, then the Grand Prize will not be awarded.
Runner-Up Prizes – Most Points (“Bracket Winner & 2 Runner Ups”): The (3) eligible entrants (excluding any Grand Prize winner, if any) who score the most points in the Challenge will win the Runner-Up Prizes subject to verification of eligibility and compliance with these Official Rules. The Runner-Up Prizes are:
· First Place (to the highest scoring entrant, excluding any Grand Prize winners): $5,000 Cash
· Second Place (to the second highest scoring entrant, excluding any Grand Prize winners): $2,500 Cash
· Third Place (to the third highest scoring entrant, excluding any Grand Prize winners): $1,000 Cash
A maximum of three (3) Runner-Up Prizes will be awarded.
Total approximate retail value of all prizes available to be awarded in this Challenge is $1,008,500 (present value is $508,500).
Tie Breaking Procedures: In the event of a tie among any entrants in the Runner Up prize category, the one winner for that Place prize will be determined as follows:
· Entrant who has determined closest to the actual Total Cumulative Points in the Championship game on 4/4/2016, regardless if the determination is higher or lower than the maximum point total.
· In the event of a remaining tie among any eligible entrants, the tie-breaker shall then be a random drawing conducted by the Challenge Administrator.
Potential winners will be notified by email at the address provided in the registration on or about 4/5/2016. Each winner must accept delivery of prize as specified by Sponsor. Prize does not include any other costs or associated expenses not identified in these Official Rules.
Maximum of one prize award per participating entrant. All applicable federal, state and local taxes are the winner’s sole responsibility. All prize awards are non-transferable and no cash redemption or prize substitution allowed, except at Sponsor’s sole discretion or as provided herein. Sponsor reserves the right to substitute a prize of comparable or greater value, at its sole discretion.
All of the following will apply for each prize winner: 1) Winners will be required to complete and return, within 5 days of date of receipt, a W-9 form, an affidavit of eligibility, and a liability/publicity release (where permitted); 2) Winners will be required to present a copy of a valid driver’s license or government issued ID as a condition of receiving any prize; 3) Winners will be issued an IRS Form 1099 reflecting the actual value of all prizes won, if prize value exceeds $600, in January of the year following awarding of prize; and 4) Failure to accept or properly claim any prize in accordance with these rules will result in forfeiture of the prize. If forfeited for any reason, such forfeiting entrant will not receive any other prize substitution or compensation, and the prize will remain the property of Sponsor and will not be awarded, except as provided herein. If any entrant does not comply with the time frame for returning affidavits and releases, if a prize or prize notification is returned as undeliverable, or if Sponsor is unable to contact a potential winner for any reason within a reasonable time frame, the entrant will be disqualified and the prize awarded to a potential alternate winner.
Odds of Winning the Grand Prize or Runner-up Prize: The odds of winning depend on the skill of each eligible entrant in predicting the outcome of the games.
Additional Rules & Restrictions: By participating in this Challenge, entrants agree to abide by and be bound by the Official Rules and the decisions of the Sponsor and Administrator, which shall be final in all matters relating to this Challenge. In the event an entrant wins a prize, and is later found to be in violation of these rules he/she will be required to forfeit the prize or to reimburse Sponsor for the stated value of the prize. All entrants are required to abide by any legal restrictions, in the entrant’s state of residence. Participation in Challenge constitutes permission for the Sponsor and its designees to use winners’ names, cities and states of residence, images, and/or likenesses for any commercial or non-commercial purposes, including advertising, in any and all media now or hereafter known worldwide on perpetuity without limitation or further compensation, notification or permission, unless prohibited by law. False, fraudulent or deceptive entries or acts shall render entrants ineligible for any prize.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, By participating, entrants agree to release and hold all Released Parties harmless from any claims, losses, actions, injury (including but not limited to death) judgments, demands, costs, expenses, or damages of any kind, whether direct, incidental or consequential, arising out of or relating to entrant’s participation in this Challenge, or the acceptance, possession, use or misuse of any prize, or participation in prize-related activities (including but not limited to travel or activity related thereto), and to assume all liability thereof.
Released Parties shall not be liable to, entrants, winners or any other person for any action or inaction, including the failure to supply the prize or any part thereof, caused by reason of any acts of God, any actions, regulations, orders, or requests by any governmental entity, equipment failure, terrorist acts, war, fire, unusually severe weather, embargo, labor dispute or strike, labor or material shortage, transportation interruption of any kind, or any other cause beyond Released Parties’ sole control.
Entrants are restricted to use of ordinary and typical computer equipment, mobile phone equipment, Internet access and cellular networks. Sponsor disclaims all liability for the inability of a entrant to complete or continue an entry due to equipment malfunction, busy lines, inadvertent disconnections, acts beyond the Sponsor’s control, or otherwise. The Sponsor disclaims any liability for received entries due to technical difficulties or transmission errors. The Sponsor disclaims all liability for any delays, mis-delivery, loss, or failure in the delivery of any item sent by mail, courier, express, electronic transmission, or other delivery method. Released Parties are not responsible for mechanical, technical, electronic, communications, telephone, computer, hardware or software errors, malfunctions or failures of any kind, including: failed, incomplete, garbled or delayed transmission of online entries, traffic congestion on telephone lines, the Internet or at any website or lost or unavailable network connections which may limit an online entrant’s ability to participate in the Challenge, and any injury or damage to entrant’s or any other person’s computer or mobile phone related to or resulting from participating in or downloading any information necessary to participate in the Challenge. Released Parties are not responsible for any other errors of any kind, whether computer, technical, typographical, printing, human or otherwise, relating to or in connection with the Challenge, including, without limitations, errors which may occur in connection with the printing or advertising of this Challenge, administration or execution of the Challenge, the cancellation of the game, the processing of entries or in the announcement of the prizes or prize winners. Sponsor, in its sole discretion, reserves the right to disqualify any person tampering with the entry process or the operation of the Challenge Website. ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CHALLENGE MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEY’S FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING CRIMINAL PROSECUTION.
Sponsor reserves the right to cancel, modify or terminate the Challenge and not award any prizes if fraud, misconduct or technical failures destroy or threaten the integrity of this portion of the Challenge, in the opinion of the Sponsor/Administrator, or if a computer virus, bug, or other technical problem corrupts the administration, security, or proper conduct of the Challenge, or if the Challenge is otherwise not able to be conducted as planned, as determined by Sponsor/Administrator, in their sole discretion.
In addition, if the Designated Tournament is delayed, rescheduled, postponed or cancelled, Sponsor reserves the right, but assumes no obligation, to cancel or modify the Challenge and shall not be required to award any prizes.
IN CASE OF DISPUTES: By entering or participating, each entrant agrees that (1) any and all disputes, claims, and causes of action arising out of or in connection with this Challenge, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and any judicial proceeding shall take place in a federal or state court within the State of New Jersey; (2) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, and in no event will entrant be entitled to received attorneys’ fees or other legal costs; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, and consequential damages, and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and Sponsor in connection with this Promotion, shall be governed by, and construed in accordance with the laws of the State of New Jersey, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of New Jersey or any other jurisdiction), that would cause the application of the laws of any jurisdiction other than the State of New Jersey.
