BY ENTERING (OR OTHERWISE PARTICIPATING IN) THE PROMOTION, ALL PARTICIPANTS AGREE TO THESE OFFICIAL RULES, WHICH ARE A BINDING CONTRACT, SO READ THEM CAREFULLY BEFORE ENTERING. Kikkoman Love Unbottled (the “Promotion”) begins at 9:00 a.m. Eastern Time (“ET”) on May 3, 2023 and ends at 11:59 a.m. ET on June 22, 2023 (“Promotion Period”). The promotion contains a judged contest of skill (the “Contest”) as well as a game of chance (the “Sweepstakes”). The computer clock of Sponsor is the official time-keeping device in the Promotion.

ELIGIBILITY: The Promotion is open only to legal residents of the fifty (50) United States (excluding Puerto Rico) and the District of Columbia, who are eighteen (18) (except Alabama and Nebraska 19 and 21 in Mississippi) years of age or older at the time of Promotion registration. Employees, officers and directors of Kikkoman Sales USA, Inc. (the “Sponsor”), and any of its subsidiaries and affiliates, Ketchum Inc., Realtime Media LLC (the “Administrator”), their respective parent companies, affiliates, subsidiaries, advertising, and fulfillment and marketing agencies, (collectively, “Promotion Parties”) their immediate family members and those living in the same household as such individuals (whether legally related or not) are not eligible to participate in the Promotion or win a prize. For purposes of this Promotion, immediate family members are defined as spouse, partner, parents, legal guardians, in-laws, grandparents, siblings, children and grandchildren and those living in the same household shall mean people who share the same residence at least three (3) months a year, whether legally related or not. By participating in the Promotion, you release, discharge and hold harmless Promotion Parties, their respective parents, affiliates, subsidiaries, retailers, advertising and promotion agencies and the respective officers, directors, employees and agents of each of the foregoing, from any and all damages whether direct or indirect, which may be due to or arise out of participation in the Promotion or any portion thereof, or the acceptance, use/misuse or possession of any prize. By participating, you agree to these Official Rules and to the decisions of the judges and Sponsor, which are final and binding in all respects. Void where prohibited by law, rule or regulation. All federal, state and local laws and regulations apply.

TIMING: The Promotion Period will consist of five (5) phases, as detailed below:

Phase 1 – Contest Entry Period: Begins at or about 9:00 a.m. ET on May 3, 2023, and ends at 11:59 a.m. ET on May 30, 2023.
Phase 2 – Judging – Finalist Selection: Begins at or about 12:00 p.m. (noon) ET on May 30, 2023, and ends at 11:59 a.m. ET on June 15, 2023.
Phase 3 – Public Voting Period/Sweepstakes Entry: Begins at or about 12:00 p.m. (noon) ET on June 15, 2023, and ends at 11:59 a.m. ET on June 22, 2023.
Phase 4 – Interim – Winner Selection, Notification, and Confirmation and Sweepstakes Drawing: Begins at or about 12:00 p.m. (noon) ET on June 22, 2023, and ends at 11:59 a.m. ET on June 29, 2023.
Phase 5 – Winner Announcement: The Grand Prize winner, Runner-Up winners, Sweepstakes winner, and Honorable Mention winners will be announced on or about June 29, 2023.

HOW TO PARTICIPATE IN THE CONTEST: There are three (3) ways to enter the Contest, each of which requires you to create Content, as described below:

Create a photo or a video (more details and guidelines below) that depicts how you use, love, or remember Kikkoman and/or depicts your celebration of Kikkoman’s 50th Anniversary and include a short caption not to exceed 250 words (your “Content”). Entrant should be the only individual, if any, who appears in his or her Content (e.g., no family members, friends or others). There are three (3) ways to share your Content, but you will only receive one (1) entry into the Contest, so be sure to submit only your best work. For purposes of this Contest, a “Submission” is a video or photograph file including a short caption that follows the technical, creative, and legal requirements disclosed on the Contest Website and elsewhere in these Official Rules, including, without limitation, the Content Guidelines (defined below).

WEBSITE UPLOAD: To enter the Contest via the Promotion website, during the Contest Entry Period visit KikkomanLoveUnbottled.com (the “Website”) and follow the links and instructions to complete and submit the registration form including your full name, valid email address, home address (P.O. Boxes are not permitted), date of birth, and (if you plan to also share your Content on Instagram or Twitter) your social handle(s) for cross-referencing purposes. Then, follow the links and instructions to upload your Content, including the short caption via your PC or mobile device (acceptable formats include PNG, JPG, JPEG, PDF, GIF, MOV, WAV, TIF, SVG; not to exceed 10MB or :30 seconds). You may return on a different date to upload your Content within Phase 1: Contest Entry Period. Once you have completed all of these steps, your Content will be included in the Contest, up to the limit stated below. You may also share your Content on the social platforms listed below, following all instructions.
INSTAGRAM: To participate and enter this Contest via the Instagram mobile application, you will need a device (e.g., mobile phone or tablet) that can access the Internet. Additionally, you will need to download the Instagram application from your mobile device’s app store or access Instagram from www.instagram.com and sign-up for an Instagram account (“Instagram Account”) if you do not already have one. Creating an Instagram Account is free. By submitting your information and creating an Instagram Account, you will be required to agree to the Instagram terms of service and privacy policy. If you do not agree to Instagram’s terms of service and privacy notice, you cannot create an Instagram Account or participate in this Contest via Instagram. Once you have an Instagram Account, log in and become a follower of the @kikkomanusa Instagram Account. Then, during the Contest Entry Period, create your Content as described above (including the short caption) and post it from your Instagram Account, being sure to include the hashtags #KikkomanLoveUnbottled and #Contest and to tag @kikkomanusa as part of your Instagram post. A successful post that includes all of the requirements is your “Submission.” Posts made using the Instagram Story functionality are not eligible for entry in this Contest. Sponsor may not see Submissions that fail to strictly follow the posting instructions set forth in these Official Rules and Sponsor is not responsible for failure to see or receive a Submission. Your first posted Submission will be the Content in this Contest and you may not edit a Submission after your original post. NOTE: Sponsor may not receive Submissions from Instagram users with “private” account settings (i.e., user has set their Instagram Account so that only people the user has approved can view their photos) due to the way Instagram operates its service. Be sure your Account is set to “public.” Sponsor, at its sole discretion, may accept a technically incorrect hashtag term. Messages not received by Sponsor will not be entered into the Contest. By including the hashtags #KikkomanLoveUnbottled and #Contest in the post, and tagging @kikkomanusa, you are confirming your acceptance of and agreement to these Official Rules.
TWITTER: To participate and enter this Contest via the Twitter method of entry, you will need a Twitter account (“Twitter Account”). If you don’t already have one, visit www.twitter.com to create a Twitter Account; creating a Twitter Account is free. By submitting your information and creating a Twitter Account, you will be required to agree to the Twitter terms of service and privacy notice. If you do not agree to Twitter’s terms of service and privacy notice, you cannot create a Twitter Account or participate in this Contest via Twitter. Once logged into your Twitter Account, follow the links and instructions to become a follower of the @KikkomanKitchen Twitter account. Then, during the Contest Entry Period, create your Content (including the short caption) as described above and tweet it from your Twitter Account, being sure to include the hashtags #KikkomanLoveUnbottled and #Contest and to tag @KikkomanKitchen as part of your tweet. A successful post that includes all of the requirements is your “Submission.” Sponsor may not see Submissions that fail to strictly follow the posting instructions set forth in these Official Rules and Sponsor is not responsible for failure to see or receive a Submission. Your first posted Submission will be the Content in this Contest and you may not edit a Submission after your original post. NOTE: Sponsor may not receive entries from Twitter users with “protected” updates (i.e., user has set their Account so that only people the user has approved can view their updates) due to the way Twitter operates its service. Be sure your Account is set to “public.” Sponsor, at its sole discretion, may accept a technically incorrect hashtag term. Messages not received by Sponsor will not be entered into the Contest. By including the hashtags #KikkomanLoveUnbottled and #Contest in the post, and tagging @KikkomanKitchen, you are confirming your acceptance of and agreement to these Official Rules.

Limit of one (1) Contest Entry per person/ per email address/per social handle throughout the Promotion Period, regardless of method or combination of methods of entry. Any attempt to submit more than one (1) Submission in total may result in disqualification, in Sponsor’s sole discretion.

A Submission may, in Sponsor’s sole and absolute discretion, be rejected if it fails to follow the technical, creative, and legal requirements disclosed on the Website and in these Official Rules. Those who do not follow all of the instructions, provide the required information in their registration form, or abide by these Official Rules or other instructions of Sponsor may be disqualified at Sponsor’s sole and absolute discretion. All Submissions that are late, illegible, incomplete, damaged, destroyed, forged or otherwise not in compliance with the Official Rules may be disqualified from the Contest at Sponsor’s sole and absolute discretion. Submissions generated by script, macro or other automated means and entries by any means which subvert the entry process are void. All Submissions and Content become the physical property of Sponsor and will not be acknowledged or returned. Assurance of delivery of Submissions is the sole responsibility of the entrant.

In the event of a dispute over the identity of an online participant, Submission will be deemed submitted by the registered account holder of the email address associated with the entry or social media account for the domain associated with the submitted address or handle, provided that person is eligible. Winners may be required to show proof of being the registered account holders. Registered account holder is defined as the person assigned to an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses or the natural person associated with a social handle. In the event that a dispute regarding the identity of the individual who actually submitted a Submission cannot be resolved to Sponsor’s satisfaction, the affected Submission will be deemed ineligible. Sponsor and affiliated entities are not responsible for lost, misdirected, misplaced, stolen, tampered with, deleted, or invalid Content or Submissions.

By submitting Content or a Submission in this Contest, you hereby grant permission for your Content or Submission to be posted in a gallery on the Website and on Sponsor’s social media or other websites. You agree that Promotion Parties are not responsible for any unauthorized use of Content or Submissions by third parties. Promotion Parties do not guarantee the posting of any Submission.

By submitting Content or a Submission, you represent and warrant that the work submitted is original to you and that neither it nor its contents infringes upon or violates the rights of any third party. Your Content/Submission should not include likenesses of third parties or contain elements not owned by you, (such as, but not limited to, company logos other than Sponsor’s logos). Content/Submission must not defame or invade the publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any person’s personal or proprietary rights.

CONTENT GUIDELINES AND RESTRICTIONS:

Submissions must be submitted in the English language.
Entrant should be the only individual, if any, who appears in his or her Submission (e.g., no family members, friends or others).
Any photograph submitted as part of an entry must be in one of the following file formats: .JPG, .PNG and .GIF, and cannot exceed 10MB.
Any video submitted as part of an entry must be in one of the following file formats: MPG, MP4, MOV, WMV, AVI, with a max file size of 500MB, and a max length of 30 seconds.
Any caption submitted as part of an entry may be no longer than 250 words in length.
Submissions must comply with these Official Rules and any Terms of Use posted on the Website or social media platform and meet all specifications or requirements called for in these Official Rules and other advertising for the Contest.
During the Contest Entry Period, Submissions cannot be displayed or distributed except as specified in these Official Rules or by Sponsor, and you must maintain all rights, without third party obligations, to transfer your Submission to the Sponsor if you are selected as a winner.
Except for materials that are in the public domain, each Submission, in its entirety, must be a single work of original material created by the entrant, and suitable for presentation in a public forum.
Submissions must not have been submitted previously in any contest of any kind or exhibited or displayed publicly (i.e., disclosed beyond your immediate circle of friends and family) through any means previously.
Except for materials in the public domain, Submissions must include only materials created by the entrant, or for which entrant has all rights required to comply with these Official Rules and must not infringe on the intellectual property rights of any other person or entity. Sponsor does not permit the infringement of others’ rights and any use of materials that infringe third party rights is grounds for disqualification from the Contest and may subject you to liability. Do not copy your favorite movie, book or photo or include materials, images, graphics, music or trademarks belonging to any third parties or incorporate the names, voices, likeness or personas of any party other than yourself unless you have obtained all rights necessary to permit you to use same in connection with your Submission and grant the rights herein granted to Sponsor. Submissions that contain brand names, trademarks or company logos (other than those owned by Sponsor) are subject to disqualification.
Submissions must not include material that: (a) is sexually explicit, inappropriate, indecent, obscene, violent, hateful, tortious, defamatory, slanderous or libelous, (b) is derogatory or promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age, (c) invades the privacy or publicity rights of any person, living or deceased, or violates or infringes any rights of any other party, including but not limited to copyright, trademark, privacy, publicity or any other intellectual property rights, (d) is unlawful, in violation of or contrary to the laws or regulations of the United States or of any jurisdiction where Submission is created, (e) is harmful to other users of the Website such as viruses, Trojan horses or other technologies that could adversely impact the Contest, (f) promotes illegal drugs or firearms (or the use of any of the foregoing), or any activities that may appear unsafe or dangerous, or any particular political agenda or message, and/or (f) is disparaging to Sponsor or any other person or party or is inconsistent with the positive images and/or goodwill to which Sponsor wishes to associate (at Sponsor’s sole and absolute discretion). The Submission must be consistent with the image and values of Sponsor and be consistent with and satisfy the purpose of the Contest.
Submissions should not reveal any personal information about another individual, including another person’s address, phone number, email address, credit card number or any information that may be used to track, contact, or impersonate that individual.
No background artwork should appear in the Submissions unless it is an original work of the entrant. Any artwork, murals, etc. that can be seen in Submissions must be created solely by the entrant or entrant must be the sole owner of all copyright interests therein.
Entrants must not submit a Submission that if selected cannot be assigned to Sponsor as contemplated below.

By submitting a Submission, you represent and warrant that your Submission is original to you, that the Submission has not been previously published, has not won previous awards and that neither it nor its contents infringes upon or violates the rights of any third party, including any copyrights, trademarks, rights of privacy, publicity or other intellectual property. By submitting a Submission, you warrant and represent that you consent to the submission and use of the Submission in the Contest and to its use as otherwise set forth herein (including without limitation in promotional materials). If you plan to offer any part of your Submission for sale, do not do so until after December 29, 2023.

By submitting a Submission, you acknowledge and agree that Sponsor may receive other Submissions in this Contest that may be similar or identical to the one submitted by you, and you waive any and all claims you may have had, may have, and/or may have in the future, that any other Submission reviewed and/or used by Sponsor may be similar to your Submission and you understand that you will not be entitled to any compensation because of Sponsor’s use of such other similar or identical material.

JUDGING – FINALIST SELECTION: Begins at or about 12:00 p.m. (noon) ET on May 30, 2023, and ends at 11:59 a.m. ET on June 15, 2023. A panel of qualified judges, determined by Sponsor in its sole discretion, will score each Submission up to the maximum amount of points allowed. Judges will review and judge all eligible Submissions based on the following judging criteria (“Judging Criteria”):

Creativity of Submission (34%)
Authenticity of Submission (33%)
Brand Affinity and Fit with Providing a Personal Love Story with Kikkoman (33%)

Submissions that do not contain all required entry information or are considered inappropriate for any reason are not eligible.  The five (5) Submissions with the highest scores from the judges will be the “Finalists” and will be posted on the Website in a gallery for public voting. In the event of a tie between or among Submissions for the top five (5) spots, the tie will be broken by comparing the Submissions’ scores for Brand Affinity and Fit with Providing a Personal Love Story with Kikkoman and the one with the higher/highest score for that criterion will be the winner between or among the tied Submissions. If a tie still remains, an additional “tie-breaking” judge be brought in to evaluate the tied Submissions, based on the Judging Criteria above. See additional details regarding the voting, below. Sponsor reserves the right not to award all prizes or to choose fewer than five (5) Finalists if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Submissions. Prize awards are subject to verification of eligibility and compliance with these Official Rules.

PUBLIC VOTE / SWEEPSTAKES ENTRY: To participate in the public vote among the Finalists and to earn an entry into the Sweepstakes portion of this Promotion, you must meet the eligibility criteria in Section 1 of these Official Rules, which include being a legal resident of the fifty (50) United States (excluding Puerto Rico) and the District of Columbia, and being eighteen (18) (except Alabama and Nebraska 19 and 21 in Mississippi) years of age or older at the time of voting. To place a vote for a Finalist, visit the Contest Website during the Public Voting Period. You must follow the on-screen instructions to submit your name and email address (as well as any other required information), if you haven’t done so previously. Upon submitting your email address, you will be able to place one (1) vote, per day, for the best Finalist, in your opinion and based on the Judging Criteria listed above in Section 4. When you do so, you will receive one (1) entry into the Sweepstakes, subject to the limit below. All participants in this Promotion are prohibited from casting, soliciting, or obtaining votes by any fraudulent or inappropriate means, including, without limitation, offering prizes or other inducements to members of the public, as determined by Sponsor in its sole discretion. Votes generated by script, macro or other automated means or which subvert or impair the integrity of the voting process will be void. Any attempt to exceed the limited number of votes shall give the Sponsor the right to void the votes in question and disqualify the applicable Finalist Submission, at its sole discretion. Limit of one (1) vote per person, per day, throughout the Public Voting Period and also one (1) Sweepstakes entry per person per day during the Public Voting Period. For purposes if this Sweepstakes, a “day” is understood to mean 12:00 p.m. (noon) ET through 11:59 a.m. ET.

At the end of the Public Voting Period, the Finalist with the highest number of valid votes, as determined by Sponsor, in its sole discretion, will be the potential Grand Prize winner of the Contest. The other four (4) Finalists will be the potential winners of the Finalist Prizes.

SWEEPSTAKES DRAWING/ODDS: On or about June 26, 2023, the Administrator will conduct a random drawing from all eligible Sweepstakes entries received during the Public Voting Period. Odds of winning depend on number of eligible Sweepstakes entries received during the Public Voting Period.

WINNER NOTIFICATION: Prizes will be awarded only upon winner redemption, confirmation, verification and final approval by Sponsor. No substitution, transfer of any prize or cash alternative permitted, except by Sponsor who reserves the right, in its sole discretion, to substitute a prize of equal or greater value, if prize, or portion of prize, becomes unavailable. The potential prize winners will be notified using the information provided during entry by any of email, telephone, mail, a post on the potentially winning Submission or through a direct message on a social media platform (if applicable) (method to be selected by Sponsor in its sole discretion) in a commercially reasonable time after selection of winner. The Promotion Parties are not responsible for false, incorrect, changed, incomplete or illegible contact information. Notification is deemed to have occurred immediately upon sending of an email, placing of a phone call, one (1) day after sending via a delivery service or two (2) days after mailing. As part of the notification process, a potential winner may be required to complete and submit a prize redemption form (“Redemption Form”) within ten (10) days as a condition of receiving a prize. If any potential prize winner fails or refuses to sign and return the Redemption Form within the required time period or if the Redemption Form is returned as rejected, faulty, unclaimed or returned as undeliverable to the potential winner, potential winner may be disqualified, and an alternate may be selected. P.O. Boxes are not permitted. The Promotion Parties are not responsible for electronic communications that are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in entrant’s email or other account to receive messages.

Each potential winner of a prize valued at $600 or more will be required to submit a declaration of eligibility / release of liability / prize acceptance agreement (collectively, the “Declaration”) and return it within ten (10) days before being eligible to receive his or her prize. If any potential winner fails or refuses to sign and return the Declaration within the time period required or if the prize or prize notification is returned as rejected, faulty, unclaimed or returned as undeliverable to the potential winner, the potential winner may be disqualified, and an alternate may be selected. Non-compliance shall result in disqualification and award of the prize to an alternate winner. A potential winner becomes a “winner” only after verification of eligibility by Sponsor. If a potential winner cannot be contacted within a reasonable time period, if the potential winner is ineligible, if any notification is returned undeliverable, or if the potential winner otherwise fails to fully comply with these Official Rules, he/she will forfeit that prize and an alternate winner may be selected from among all remaining entries repeating the process identified above. No more than the stated number of prizes will be awarded. If, for any reason, more bona fide winners come forward seeking to claim prizes in excess of the number of each type of prize set forth in these Official Rules, the winners, or remaining winners, as the case may be, of the advertised number of prizes available may be selected either via the judging process specified above (for Contest prizes) or in a random drawing from among all persons making purportedly valid claims for such prize (for the Sweepstakes). Inclusion in such judging process or drawing shall be each entrant’s sole and exclusive remedy under such circumstances. The Promotion Parties are not responsible for and shall not be liable for late, lost, damaged, intercepted, misdirected, or unsuccessful efforts to notify the potential winners.

PRIZES/PRIZE RESTRICTIONS:

CONTEST PRIZES:

One (1) Grand Prize Trip: A trip for winner and one (1) guest (must be 18 or older) to Tokyo, Japan. Prize package includes round trip, coach class air transportation via a Sponsor-selected air carrier(s) from a major commercial airport near winner’s home selected by Sponsor in its sole and absolute discretion; a 6-night hotel stay (one (1) standard room based on double occupancy) for the winner and one (1) guest. ponsor is only responsible for winner’s flight and hotel. All other expenses, including, but not limited to, ground transportation to and from airports, are not included in Trip Prize. Winner is responsible for all transportation costs to and from the airport. The approximate retail value (“ARV”) for the Trip Prize is $15,000. Actual value of Trip Prize may vary depending on point of departure, travel dates and fare/rate fluctuations. If the actual value of the prize is less than the stated ARV, the difference will not be awarded. All travel arrangements must be made through the Sponsor or Sponsor’s designee. Certain restrictions and blackout dates may apply. The winner of the Trip Prize must travel as and when designated by Sponsor or the Trip Prize may be forfeited, and an alternate selected winner chosen.

The Trip Prize winner and his or her travel companion must travel together and on the same itinerary and possess all required travel documents, including visas and valid passports, if and as applicable. It is the responsibility of the Trip Prize winner and his or her companion to provide proper documentation (including government issued picture identification). All aspects of the travel portions of the Trip Prize must be conducted on such dates as determined by Sponsor in its sole and absolute discretion. The dates of departure and return are subject to change at Sponsor’s sole and absolute discretion. Airline tickets are non-refundable/non-transferable and are not valid for upgrades and/or frequent flyer miles. Travel must be booked at least two (2) months prior to travel and all travel must be completed within one year after winner is confirmed. All airline tickets are subject to flight variation, work stoppages, and schedule or route changes. Sponsor reserves the right to structure travel route and select hotels in their sole and absolute discretion. The Trip Prize winner will not receive cash or any other form of compensation if actual travel costs are less than the estimate made in these Official Rules. The round trip air transportation element for the Trip Prize begins and ends at the point of departure. The Trip Prize is subject to seat and hotel availability, as well as Sponsor’s terms and conditions generally applicable thereto.

Sponsor shall not be responsible for any cancellations, delays, diversions or substitution or any act or omissions whatsoever by the air carriers, hotels, venue operators, transportation companies, prize providers or any other persons providing any Trip Prize-related services or accommodations. Sponsor is not liable for any missed prize events, opportunities or expenses incurred as a consequence of flight cancellation/delay or ground transportation delay. No refund or compensation will be made in the event of the cancellation or delay of any transportation or other prize element except at the sole and absolute discretion of Sponsor. Additional prize award details and travel information to be provided to the Trip Prize winner at the time of Trip Prize notification. Trip Prize winner and companion are responsible for obtaining travel insurance (and all other forms of insurance) at their option and hereby acknowledge that Sponsor has not and will not obtain or provide travel insurance or any other form of insurance. The Trip Prize winner may be required to provide a credit card at the time of hotel check-in. Companion of Trip Prize winner must be at least eighteen (18) years old as of the date of departure. Travel companion must execute liability/publicity releases prior to issuance of travel documents. Once a travel companion is selected, he/she may not be substituted, except in Sponsor’s sole and absolute discretion. Travel is subject to the terms and conditions set forth in this Contest, and those set forth by Sponsor’s transportation carrier(s) of choice. Lost, stolen or damaged airline tickets, travel vouchers or certificates will not be replaced or exchanged. All expenses not specifically mentioned herein, are not included as part of any Trip Prize package, and are solely the Trip Prize winner’s responsibility, including, but not limited to: hotel or other taxes, additional ground transportation at the Trip Prize winner’s destination(s), travel insurance, upgrades, room service, bag check fees, parking fees, laundry service, meals/food, alcoholic beverages, merchandise, souvenirs, telephone calls, tips, gratuities, experiences/events and service charges. Transportation carrier and hotel regulations and conditions apply. Travel and lodging are subject to availability, and any changes made to either of these will be at the expense of the Trip Prize winner.

Released Parties (defined below) are not responsible if the Trip Prize listed above or any part thereof is delayed, postponed or cancelled due to events outside of its reasonable control, including due to COVID 19 restrictions. In the event the Trip Prize or any part cannot be awarded, including as a result of epidemics, pandemics or other public health concerns, including COVID 19, the Trip Prize may be awarded at another time or as another trip or other prize or as a cash prize of equivalent value (collectively “Substitute Prize”), all as determined by Sponsor in its sole and absolute discretion. If potential winner chooses not to accept the Trip Prize or the Substitute Prize (as applicable), the Trip Prize or Substitute Prize may be awarded to an alternate (time-permitting). As a condition of accepting the Trip Prize or Substitute Prize (as applicable), potential winner and guest may be required to agree to comply with Sponsor’s and/or any prize supplier’s COVID safety protocols (collectively, “Sponsor’s Safety Protocols”), including, but not limited to, testing, mask wearing, social distancing and quarantining, all as applicable and as determined by Sponsor and/or a prize supplier, or the Trip Prize (or Substitute Prize, as applicable) will be forfeited. LICENSE TO SUBMISSIONS: Entrant, upon submission of his or her Submission to the Contest, irrevocably grants to Sponsor, and each of its licensees, successors and assigns, the non-exclusive, perpetual, royalty-free, no-cost license and right to use and otherwise exploit the Submissions, and all images, text and materials included or depicted therein, in whole or in part, in any manner or medium now or hereafter known or devised (including, without limitation, CDs, streaming media, film, television, videocassettes, print, interactive devices, mobile media, Internet and on-line systems), throughout the universe and in any and all languages, including, without limitation, the right to display, reproduce, recreate, record, perform, exhibit, distribute, copy, edit, change, modify, add to, subtract from, re-title and adapt the same, to combine it with other material and otherwise use and exploit it without having to give any compensation or attribution to entrants or any third party, except for the awarding of a prize to a winner in this Contest. Entrants agree that during the Contest Entry Period, they shall not make, and shall not permit, any other public use, display or distribution of the Submissions, and they shall maintain all rights without encumbrances so that, if Sponsor desires, entrants can assign all rights in and to Submissions if selected as a winner. Sponsor, and each of its successors, assigns and licensees, will have the right to make unlimited derivative works of Submissions, to assign or transfer any or all of Sponsor’s granted rights and to grant unlimited, multiple-level sublicenses. Without limiting the foregoing, Sponsor will have the right to use the Submissions submitted as part of the Contest, and all images, text and materials included or depicted therein (if any), in any merchandising, advertising, marketing, promotion or for any other commercial or non-commercial purpose. Entrants hereby forever waive and relinquish all “moral rights (droit moral)” now or hereafter recognized in connection with Submissions submitted as part of the Contest. Entrants acknowledge that as a condition of participating in the Contest and/or being selected as a winner, Sponsor may request that the entrant’s Submission, and any rights therein, be assigned to Sponsor and entrants may be required to confirm such assignment by completing and submitting the Declaration (defined above) (and any other documents reasonably required by Sponsor) or such entrant will otherwise be disqualified from receiving his/her prize(s). Entrants must maintain the ability to assign all such rights to Sponsor free of any limitations, restrictions or third party obligations. Entrants agree that Sponsor, nor its agents, shall be responsible for return or preservation of the Submissions submitted. All Submissions that are posted on the Website or social media or elsewhere are available to be viewed by anyone with access to the Internet.

Each entrant acknowledges that Submissions are not being submitted in confidence or in trust to Sponsor and that no confidential or fiduciary relationship is intended or created. Each entrant acknowledges that Sponsor and other entrants may have created ideas and concepts contained in their Submissions that may have familiarities or similarities to his/her own Submission, and that he/she will not be entitled to any compensation or right to negotiate with the Promotion Entities because of these familiarities or similarities. Notwithstanding any custom and practice in the industry to pay an individual for an idea (if any), nothing herein shall create an implied or express contract to compensate entrants for their Submissions and there is no obligation for any Promotion Entity to pay or otherwise compensate entrants for any of their ideas or materials in any communications with Sponsor, whatsoever. Submissions are not confidential and the Promotion Entities’ only obligations to entrants regarding Submissions are as specifically set forth in these Official Rules. The decisions of the Sponsor are final and binding in all matters relating to this Contest, including interpretation and application of these Official Rules. Entrant, by participating in the Contest, except where legally prohibited, grants permission for Sponsor and its designees to use his/her name, address (city and state), photograph, voice and/or other likeness and prize information for advertising, trade and promotional purposes without further compensation, in all media now known or hereafter discovered, worldwide in perpetuity, without notice or review or approval. Sponsor reserves the right to request from entrant at any time proof that entrant maintains all necessary rights in their Submission in order to grant Sponsor the rights required herein in a form acceptable to Sponsor. Failure to provide such proof may lead to, among other things, the entrant being disqualified from the Contest.

REPRESENTATIONS AND WARRANTIES: By entering the Contest, entrant represents and warrants that he or she has read, understands, agrees to and will follow the Official Rules. Entrant further represents and warrants that his or her Submission and all materials and matter therein: (a) (except for elements that are within the public domain or are provided by Sponsor for inclusion in Submissions) are wholly original with such entrant and are not a copy or imitation of any other material or entrant has all necessary rights to grant the Sponsor the rights granted hereunder and exercise such without obligation or liability to any third party; (b) will not infringe or violate any right whatsoever, including, without limitation, any personal rights (e.g., defamation, privacy, false light, moral right, etc.) or any property rights (e.g., copyright, trademark, right to ideas, etc.) of any person or entity and the use thereof will result in no third party liability or obligations; and (c) is not the subject of any threatened or pending litigation, claim or dispute that might give rise to litigation, which adversely affects or in any way prejudices, impairs or diminishes the rights granted hereunder or the value thereof. Entrant further represents and warrants that he or she has the right to agree to and fully perform consistent with these Official Rules and that he or she has complied and has obtained all permissions, licenses and consents that are necessary for the submission of the Submission and the use of the Submission and to verify compliance with the foregoing requirements. Entrant agrees to provide to Sponsor at Sponsor’s request copies of all such permissions, licenses and consents. Sponsor reserves the right, in its sole discretion, to disqualify and/or not to post on Website any Submission or Content that Sponsor determines does not comply with these Official Rules, to make such changes to any Submission as are necessary to make it compliant, or to require the entrant to do so. Entrant further acknowledges and agrees that he/she has not previously granted, assigned or otherwise encumbered his/her Submission, or any images, text and materials depicted therein, to any other third party. GENERAL PRIZE CONDITIONS: Prizes will only be awarded by Sponsor upon potential winners’ verification of eligibility and final approval by Sponsor. No prize substitution, cash equivalent of prizes, transfer or assignment of prizes is permitted, except by Sponsor which reserves the right to substitute a prize with one of comparable or greater value, in its sole discretion. Subject to applicable law, each winner hereby expressly grants to the Promotion Parties and their respective successors, assigns, sublicensees and designees, the irrevocable right to use and publish his/her name, social handles, likeness (photographic or simulated), voice, biography and place of residence for all purposes, including, without limitation, advertising, marketing, promotional and publicity purposes in connection with this Contest (“Advertising”), in any and all media now or hereafter devised, worldwide, in perpetuity, without any form of notice, permission or any amount or kind of compensation, except for the awarding of the prize(s) to the winner(s). All copyright, trademark or other intellectual property rights in such Advertising shall be owned by Sponsor and/or its licensors, and each winning participant hereby disclaims and waives any claim of right to such Advertising. Such Advertising shall be solely under the control of Sponsor and/or its licensors, and each winner hereby waives any claim of control over the Advertising content as well as any possible claims of misuse of such winning recipient’s name, likeness or voice under contract, tort or any other theory of law. The Promotion Parties do not assume any responsibility for any disruption in the Contest or Promotion, including, but not limited to, the failure or interruption of any social media platform or any internet service provider. In the event there is a discrepancy or inconsistency between disclosures and other statements contained in any Contest materials and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern, and control. All decisions as to these Official Rules and interpretations thereof are exclusively within the sole discretion of the Promotion Parties and may be changed from time to time without notice. In the event Sponsor is prevented from continuing with the Contest by any event beyond its control, including, but not limited to, fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, communications or equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), interference with the Contest by any party, or any federal, state, or local government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each, a “Force Majeure” event or occurrence), Sponsor shall have the right to modify, suspend or terminate the Contest or prize. Sponsor additionally reserves the right, in its sole and absolute discretion: (a) to modify, suspend or terminate the Contest should causes beyond Sponsor’s control corrupt or interfere with the administration, integrity, operation, security or proper play of the Contest; or (b) to disqualify any entrant found to be, or suspected of: (i) tampering with the entry process or the operation of the Contest; (ii) acting in violation of these Official Rules; or (iii) acting in an un-sportsmanlike manner.

WAIVERS AND DISCLAIMERS: The Promotion Parties assume no responsibility or liability for: (a) lost, late, stolen, undelivered, inaccurate, incomplete, delayed, misdirected, damaged or garbled registrations, Submissions, entries, URLs, or emails; (b) any incorrect or inaccurate entry information, or for any faulty or failed electronic data transmissions; (c) any unauthorized access to, or theft, destruction or alteration of entries, Submissions or registrations at any point in the operation of this Contest; (d) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, cable, satellites, servers, computers or providers utilized in any aspect of the operation of the Contest; (e) inaccessibility or unavailability of the Internet or any website or any combination thereof or for computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the Contest, the processing of entries, social networking posts, or registrations, the announcement of the prizes, or in any other Contest-related materials; or (f) any injury or damage to participants or to any other person’s computer which may be related to or resulting from any attempt to participate in the Contest. RELEASES: All participants, as a condition of participation in this Contest, agree to release, discharge, indemnify and hold harmless and indemnify the Promotion Parties, Instagram, Twitter, and each of their respective directors, officers, employees, agents, successors and assigns (collectively, “Released Parties”) from and against any and all liability, claims, costs (including attorneys’ fees), losses, damages, fines, or actions of any kind whatsoever for injuries, damages, death, or losses to persons or property which may be sustained, in whole or in part, directly or indirectly, in connection with: (i) participation in any aspect of the Contest (including travel to/from any Contest activity), (ii) the receipt, ownership, use or misuse of any prize awarded, including any travel associated with any prize, (iii) the Released Parties’ violation of rights of publicity or privacy, claims of defamation or portrayal in a false light or based on any claim of infringement of intellectual property; (iv) participant’s registration material on any related website, or (iv) any typographical, human or other error in the printing, offering, selection, operation or announcement of any Contest activity and/or prize.

GOVERNING LAW AND LIMITATION OF LIABILITY: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of entrants, Sponsor or the Released Parties in connection with the Contest will be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other laws.

BY ENTERING THE CONTEST, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (A) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE CONTEST, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (B) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED TEN DOLLARS ($10.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (C) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (D) ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.

DISPUTE RESOLUTION: The parties each agree to finally settle all disputes only through arbitration; provided, however, the Sponsor shall be entitled to seek injunctive or equitable relief in the state and federal courts in the State of California, and any other court with jurisdiction over the parties. In arbitration, there is no judge or jury and review is limited. The arbitrator’s decision and award is final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. The parties agree that, except as set forth above, any claim, suit, action or proceeding arising out of or relating to this Contest shall be resolved solely by binding arbitration before a sole arbitrator under the streamlined Arbitration Rules Procedures of JAMS Inc. (“JAMS”) or any successor to JAMS. In the event JAMS is unwilling or unable to set a hearing date within fourteen (14) days of the filing of a “Demand for Arbitration”, then either party can elect to have the arbitration administered by the American Arbitration Association (“AAA”) or any other mutually agreeable arbitration administration service. If an in-person hearing is required, then it will take place in the State of California. The federal or state law that applies to these Official Rules will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate doesn’t apply and the dispute must be brought in a court of competent jurisdiction in the State of California. Sponsor agrees to pay the administrative and arbitrator’s fees in order to conduct the arbitration (but specifically excluding any travel or other costs of entrant to attend the arbitration hearing). Either party may, notwithstanding this provision, bring qualifying claims in small claims court.

ENTRY INFORMATION AND CONTEST COMMUNICATIONS: As a condition of entering the Promotion, each entrant gives consent for Sponsor to obtain and deliver his or her name, address and other information to third parties for the purpose of administering this Promotion and to comply with applicable laws, regulations and rules. Any information entrant provides to Sponsor may be used to communicate with entrant in relation to this Promotion or on a Winner’s List. By participating in the Promotion, each participant agrees to all of the terms and conditions of the Sponsor’s Privacy Policy, which is available at https://kikkomanusa.com/privacy/. In the event of any discrepancy between the Sponsor’s Privacy Policy and these Official Rules, these Official Rules shall control and govern.

NO OBLIGATION TO USE: Sponsor shall have no obligation (express or implied) to use any or to otherwise exploit any Submission or, if commenced, to continue the distribution or exploitation thereof, and Sponsor may at any time abandon the use of the Submission for any reason, with or without legal justification or excuse, and entrants shall not be entitled to any damages or other relief by reason thereof.

DATES & DEADLINES/ANTICIPATED NUMBER OF PARTICIPANTS: Because of the unique nature and scope of the Contest, Sponsor reserves the right, in addition to those other rights reserved herein, to modify any date(s) or deadline(s) set forth in these Official Rules or otherwise governing the Contest. Sponsor cannot accurately predict the number of entrants who will participate in the Contest.

FURTHER DOCUMENTATION: If Sponsor shall desire to secure additional assignments, certificates of engagement for the Submission or other documents as Sponsor may reasonably require in order to effectuate the purposes and intents of these Official Rules, then entrant agrees to sign the same upon Sponsor’s request therefor.

MISCELLANEOUS: The invalidity or unenforceability of any provision of these Official Rules or the Declaration will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules or the Declaration is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Contest related materials, privacy policy or terms of use on any website, social media platform or application and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control and the discrepancy will be resolved in Sponsor’s sole and absolute discretion.
