Eligibility: The Sweepstakes is open only to legal residents of the forty-eight (48) contiguous United States and Washington D.C., who are at least 18 years of age (or the age of majority in the jurisdiction of their residence, whichever is older) and who have an active e-mail account and Internet access as of 9/6/22. Any individuals (including but not limited to employees, consultants, independent contractors, officers/directors, and interns) who have, within the past six (6) months, performed services for Materne North America Corporation (“Sponsor“), Probability LLC (“Administrator“), The Home Edit, LLC (“The Home Edit“) Creative Media Development, Inc. (“CMD“), IPG DXTRA, Inc. d/b/a Weber Shandwick, any organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Sweepstakes, as well as persons involved in the production (including cast and crew) of Get Organized with The Home Edit (the “Show“) and/or their respective parent, subsidiary, affiliated and successor companies (collectively “Promotion Entities“), and immediate family and household members of such individuals, are not eligible to enter or win. “Immediate family members” shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses, regardless of where they live. “Household members” shall mean people who share the same residence at least three (3) months a year, whether related or not. Potential winner may be required to provide proof of eligibility upon request prior to prize award. Void in Alaska, Hawaii, Puerto Rico and where prohibited or restricted by law.

Sweepstakes Period: The Sweepstakes begins on or about 9:00:00 a.m. Eastern Time (“ET“) on 9/7/22 and ends at 11:59:59 p.m. ET on 9/27/22 (“Promotion Period“). Administrator’s computer is the official clock for this Sweepstakes.

Sweepstakes Entry: There are two (2) ways to enter this Sweepstakes: (1) the Website (defined below), and/or (2) Social Media (defined below) (together, “Entry(ies)“). Website Entry: Navigate the Internet to https://www.GoGosqueeZ.com/thehomeedit (“Website“). You will be instructed to complete an entry form to register for the Sweepstakes by submitting your name, e-mail address, and zip code (“Website Entry“). To submit your Website Entry, click the “Enter” button on the Sweepstakes page. Proof of inputting information at the Website is not considered proof of delivery to or receipt by Sponsor or Administrator. Receipt of Website Entry may be acknowledged but such acknowledgment does not constitute a representation by Sponsor or Administrator as to eligibility of entry and is not otherwise binding upon Sponsor or Administrator.

BONUS ENTRIES: Entrants may gain additional entries (“Bonus Entries“). To receive Bonus Entries, an entrant must first submit a Website Entry (which is preliminarily determined to be eligible by Sponsor/Administrator). Bonus Entries are only available from the Website during the Promotion Period. Bonus Entries include:

Refer a Friend (+1 Entry per Friend): During the Promotion Period, you may obtain additional entries by inviting friends to enter the Sweepstakes, each such entry is earned when your friend enters the Sweepstakes through your invitation, as described below. Be sure to only invite friends who are personally known to you, who you believe are interested in the Sweepstakes and Sponsor’s GoGo squeeZ products, who are permanent legal residents of the forty-eight (48) United States and the District of Columbia, who are at least 18 years of age (or the age of majority in the jurisdiction of their residence, whichever is older), and otherwise meet the eligibility and entry requirements set forth herein. 

After submitting a Website Entry via the method detailed above, you may select the REFER FRIENDS option to share an invitation with your friends to enter the Sweepstakes via a unique link. For each one (1) friend (a “Friend“) that you invite to enter the Sweepstakes who is eligible for and subsequently enters the Sweepstakes through the link you provided, subject to the terms herein, you will receive one (1) “Refer a Friend” entry during the Promotion Period. Only one (1) Refer a Friend Entry will be associated with each Friend who enters the Sweepstakes via this method, regardless of the number of entrants who invite such Friend to enter the Sweepstakes. If two (2) or more entrants invite the same Friend to enter the Sweepstakes, the Refer a Friend Entry associated with such Friend will be earned solely by the inviting entrant whose link such Friend first clicked to access the Website and enter the Sweepstakes (as determined by Administrator and/or Sponsor in their sole discretion). Refer a Friend Entries will only be eligible if Administrator and/or Sponsor determine in their sole discretion that you have fully adhered to the “Refer a Friend” terms and conditions as detailed herein. Limit five (5) “Refer a Friend” Bonus Entries in total per person during the Promotion Period.

Visit Website (+1 Entry): Visit Sponsor’s website via the link on the Sweepstakes Thank You page. Limit one (1) “Visit Website” Bonus Entry per person (during the Promotion Period).

Social Media Follow (+1 Entry per social media platform): Follow Sponsor’s official social media accounts (Facebook, Instagram, Pinterest, TikTok and/or Twitter) via the link(s) on the Sweepstakes Thank You page. Limit five (5) “Social Media Follow” Bonus Entries per person (one [1] per social media platform) during the Promotion Period.

For the avoidance of doubt, taking actions to earn Bonus Entries other than via the Sweepstakes Thank You Page will NOT result in receipt of Bonus Entries even if otherwise effected in full accordance with these Official Rules.

For all Bonus Entry Methods, proof of performing the specified action is not proof of recordation or receipt of same by Sponsor/Administrator nor is it proof of receipt of Bonus Entry.

Website Entry and Bonus Entries may be collectively referred to herein as “Entry” or “Entries.”

Limit one (1) Website Entry per person during the Promotion Period regardless of the number of email addresses or accounts a person may have. A maximum of eleven (11) Bonus Entries may be earned by a given person during the Promotion Period.

Social Media Entry: During the Promotion Period,Sponsor and The Home Edit will post one (1) collaborative Sweepstakes photo (“Sweepstakes Post“) via their official Instagram accounts (@gogosqueeZ and @thehomeedit, respectively).

follow both @gogosqueez and @thehomeedit (if you do not already);“like” the Sweepstakes Post on @gogosqueez or @thehomeedit; andcomment with      a fruit or vegetable emoji (”     Emoji“) in the comments section (“Comment“) of the Sweepstakes Post on @gogosqueez or @thehomeedit (as applicable).

Important note: If your Instagram account is set to “protected mode,” or “private” your Comment may not be visible to Sponsor/The Home Edit and may not thus be received as a Social Media Entry.

You may include additional text (in addition to the      Emoji as described above) as part of your Social Media Entry, but this is not required, nor will the inclusion of additional text in any way enhance your odds of winning. If you do include additional text, all uses of the word “Comments” in these Official Rules (as used in conjunction with Social Media Entries) includes the accompanying text as well. Any Comment/Social Media Entry that violates the Content Guidelines (as outlined in Rule 4 below), including but not limited to the inclusion of inappropriate content will result in voiding of that entry and, if the content in question is particularly inappropriate or offensive, disqualification from the Sweepstakes altogether.

While receipt of Social Media Entry may be acknowledged (e.g., by Sponsor or The Home Edit liking or replying to your Comment), this does not constitute any representation of eligibility for the Sweepstakes nor is it otherwise binding upon Sponsor or Administrator.

Partial or incomplete/piecemeal submissions via Instagram (e.g., posting a comment on the Sweepstakes Post without an Emoji) will NOT BE ACCEPTED. If your Comment includes an Emoji that is not a fruit or vegetable (as determined by Sponsor/Administrator in their sole discretion), your Social Media Entry may be disqualified.

Limit one (1) Social Media Entry per person during the Promotion Period.

You may only use one (1) Instagram account to participate in the Sweepstakes.

All Posts on Instagram must comply with the Instagram Terms of Use and Instagram Rules available at the Instagram Website. Important note: If your Instagram account is set to “private” or “protected mode”, your Post may not be visible to Sponsor/The Home Edit/Administrator and may not be counted as an Entry in the Sweepstakes.

FOR ALL ENTRIES: If you opt to download and/or access Instagram or access the Website (for entry as per Rule 3a above) via your wireless mobile device, data rates may apply for each message sent or received from your handset according to the terms and conditions of your service agreement with your wireless carrier. Other charges may apply (such as normal airtime and carrier charges as well as charges for wireless Internet access) and may appear on your mobile phone bill or be deducted from your prepaid account balance. Wireless carriers’ rate plans may vary, and you should contact your wireless carrier for more information on messaging rate plans and charges relating to your participation in this Sweepstakes. A person may enter via Website Entry and/or Social Media Entry. Multiple Entries in violation of the preceding limitations on entry or mass entry attempts may result in disqualification of all entries by such person/e-mail address and may constitute tampering. Entries must be manually key-stroked by the entrant; use of automated entry devices or programs, or entries by third parties (with the sole, limited exception of Refer A Friend Bonus Entries), are prohibited. Incomplete entries will be disqualified. Sweepstakes Entries that do not conform to or that violate these Official Rules or are submitted in any manner other than stated in these Official Rules will be disqualified. Promotion Entities will not be responsible for late, lost, incomplete, or misdirected entries or for technological, network, programming, or electronic error/failure/malfunction of any kind.

By submitting an Entry, entrant gives permission (and warrants and represents that the entrant has obtained all rights necessary to give such permission and grant the license herein described to Sponsor and its designees. Entrant hereby grants Sponsor and its designees a royalty-free, irrevocable, perpetual, worldwide, sub-licensable, non-exclusive license (“License“) to use entrant’s name, likeness, and all other information about the entrant contained in the Entry) on any media and through any means now known or hereafter devised, including without limitation, the World Wide Web, and to otherwise use entrant’s name, likeness, and all other information about entrant, and make derivative works therefrom without compensation in accordance with the requirements of this Sweepstakes and the advertising, promotion, and publicity of the Sweepstakes, Sponsor and its designees’ products and services, and otherwise, as stated in these Official Rules (as solely determined by Sponsor and its designees). If selected as the potential winner (as defined in Rule 5 below), you agree to confirm this License in writing upon Sponsor’s request and to timely complete, sign, and deliver any and all necessary documents, including without limitation, documents setting forth any licenses, releases, and indemnities that Sponsor in its sole discretion may require, without condition or compensation of any kind. If you fail to provide any of this documentation to Sponsor within the prescribed timeframe, in each instance as required by Sponsor in its sole discretion, this will result in the disqualification of your Sweepstakes Entry and the selection of another entry as the potential winner.

Social Media Entries – Content Guidelines: In addition to complying with all other requirements of these Official Rules each Comment must comply with the following guidelines (“Content Guidelines“). Any Comment that Sponsor/The Home Edit/Administrator, in their sole discretion, determine is in violation of any Content Guideline will be disqualified from the Sweepstakes (even if Comment is not thereafter deleted by Sponsor and/or Instagram [as applicable]).

Content in Sweepstakes Entries: (i) must be the original and sole creation of the entrant, and all right, title and interest including but not limited to the copyright in any Sweepstakes Entry, must be owned solely by the submitting entrant; (ii) may not infringe upon any third party’s rights, including but not limited to, copyright, patent or trademarks/tradenames/logos, or rights of privacy or publicity, or contain material that is or may be considered misleading, inappropriate, indecent, obscene, hateful, tortious, defamatory, slanderous or libelous, or portray or depict any person, product or entity in a false light (including but not limited to disparaging or insulting Sponsor, Administrator, The Home Edit, Ms. Clea Shearer and/or Ms. Joanna Teplin; (iii) may not violate any law, rule or regulation; (iv) may not contain any virus, bugs, or other deleterious material; (v) may not, for example but not limited to, contain content that reflects, advocates or promotes bigotry, racism, hatred, harm or exploitation of or against any class, group or individual, discrimination based on race, gender, religion, nationality, disability, sexual orientation or age, or actions or activities that are restricted, prohibited, illegal or unlawful (including without limitation, the consumption of controlled substances), defamatory statements, words or symbols widely considered offensive to individuals of any certain race, ethnicity, religious, sexual orientation or socioeconomic group, or threats to any person, place, business, group or world peace; (vi) may not be sexually explicit or suggestive, or profane; (vii) may not include any political, religious or otherwise controversial content; ; and each entrant warrants and represents that the content in his/her entry complies with all of those conditions. Sweepstakes Entries cannot contain, among other things, the trademark, tradename or logo of any third party or entity or product, cannot name or describe any person (living, dead, or fictional) other than the entrant, and cannot contain any material that is protected by copyright.

*Sponsor and The Home Edit each grant qualified entrant a limited, non-transferable, non-exclusive, non-sublicensable, revocable right to use their respective trademarks solely for purposes of and limited to including them in Messages and/or Photos (including as part of Posts) submitted in this Sweepstakes; such right and license will automatically expire without further act of any party at the expiration of the Promotion Period, unless specifically extended on an individual basis by Sponsor or The Home Edit, as the case may be, in writing in its sole discretion. SPONSOR AND THE HOME EDIT INCLUDING BUT NOT LIMITED TO MS. CLEA SHEARER OR MS. JOANNA TEPLIN) WILL NOT EDIT POSTED COMMENTS IN CONJUNCTION WITH OFFERING THE SWEEPSTAKES.

Random Drawing and Odds: One (1) potential Grand Prize winner will be randomly selected on or about September 28, 2022 from among all eligible entries received. The drawing will be conducted by Administrator, an independent judging organization whose decisions are final on all matters related to the Sweepstakes. For Social Media Entries: (a) provided that the Comment component of the entry complies with these Official Rules (including the Content Guidelines in Rule 4), the content/quality of the Comment will not be taken into account in the winner selection procedure; and (b) if a Comment does not comply with these Official Rules (including the Content Guidelines in Rule 4), the corresponding Sweepstakes entry will be deemed void.

Odds of winning depend on the number of eligible entries received.

Winner Notification: If potential winner entered via the Website, they will be notified by e-mail on or about September 28, 2022. Failure to respond to the initial verification e-mail within three (3) business days after notification or return of e-mail notification as undeliverable after three (3) attempts will result in disqualification. If potential winner entered via post on Instagram, they will be notified via direct/private message from Sponsor (@gogosqueez). IT IS THE POTENTIAL WINNER’S SOLE RESPONSIBILITY TO CONFIGURE THEIR PRIVACY SETTINGS SO AS TO ACCEPT DIRECT/PRIVATE MESSAGES FROM @GOGOSQUEEZ. Failure to respond to the direct/private message within three (3) business days after notification or return of direct/private message as undeliverable after three (3) attempts will result in disqualification. Potential winner will be required to complete, sign and return within three (3) business days of date of notification an Affidavit of Eligibility, Liability Release and Indemnification, a W-9, the necessary paperwork for a background check, and, except where prohibited, a publicity release, as well as other documents that Sponsor may require (collectively the “Prize Claim Documents“). Sponsor will require, and Winner must be willing to voluntarily submit to and complete a background check (providing any additional consents and materials as requested by Sponsor so as to conduct the background check) as a condition of continued eligibility. If the results of such background check are unsatisfactory, as determined in Sponsor’s sole discretion, such Winner may be deemed ineligible (in which case such Sponsor, The Home Edit, and Administrator shall not have any liability to such Winner under any legal theory). If the Prize Claim Documents are not returned to Administrator within the specified time period or if prize notification or prize is returned as non-deliverable, or if potential winner is found to be ineligible or otherwise not in compliance with these Official Rules, or declines the prize for any reason prior to award, prize will be forfeited and potential winner may be disqualified and an alternate winner may be selected from all remaining eligible Entries received during the Promotion Period.

In the event of any dispute concerning the identity of any entrant, the Entry will be deemed submitted by the natural person who is the authorized account holder of the transmitting e-mail account or the e-mail account associated with the Instagram account used to post the Entry (as applicable). “Authorized account holder” is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

Sponsor and its agencies are not responsible for failed, partial or garbled computer transmissions, or for technical failures of any kind, including but not limited to electronic malfunction or damage of any network, hardware or software. The preceding includes but is not limited to any filtering or operation of the functionality of a social media platform (e.g., Instagram) which in any way interferes with or impedes persons from entering the Sweepstakes (via Social Media Entry) or earning Bonus Entries, as the case may be. If for any reason the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud or technical failures beyond Sponsor’s control that corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes, Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process, and to terminate, modify or suspend the Sweepstakes. In such event, Sponsor reserves the right to conduct the Sweepstakes and award the prize by means of a random drawing comprised of all eligible Website Entries (including Bonus Entries) and/or Social Media Entries received (depending on the affected method[s] of entry and as otherwise appropriate) prior to and/or after the action taken by Sponsor or otherwise award the prize in a manner which is fair, appropriate and consistent with these Official Rules, as determined by Sponsor in its sole discretion. Notice of termination/modification/suspension of Sweepstakes will be posted on the Website, and/or Sponsor’s official Instagram account (@gogosqueez) and The Home Edit’s official Instagram account (@thehomeedit). No responsibility is assumed for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or loss, destruction or unauthorized access to, or alteration of, entries; or any problems or technical malfunctions of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or electronic entry to be received (or recorded) on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to entrant’s or any other person’s computer or mobile device related to or resulting from participation in or downloading any materials from this Sweepstakes.

Entrants further agree not to knowingly damage or cause interruption of the Sweepstakes and/or prevent others from participating in the Sweepstakes. CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE OR WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES OR TO DEFRAUD SPONSOR AND/OR ITS AGENCIES INCLUDING ADMINISTRATOR AS TO SWEEPSTAKES ENTRY VIOLATES CRIMINAL OR CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE, SPONSOR MAY DISQUALIFY ANY ENTRANT MAKING SUCH ATTEMPT AND SEEK DAMAGES TO THE FULLEST EXTENT OF THE LAW.

Prize and Approximate Retail Value (“ARV”):

Grand Prize (One [1] Winner): Grand Prize winner will receive a kitchen pantry and snack station makeover from up to two (2) members of The Home Edit team, but NOT Ms. Clea Shearer or Ms. Joanna Teplin** (“Pantry Makeover“). Pantry Makeover will include The Home Edit team members assessing the current state of Grand Prize winner’s kitchen pantry and making recommendations for renovating/re-organizing the kitchen pantry and snack station subject to Grand Prize winner’s agreement to the recommendations (which shall not be unnecessarily conditioned, withheld or delayed). (The specific nature of the Pantry Makeover therefore depends on the initial condition of Grand Prize winner’s pantry/snack station and The Home Edit team members’ recommendations for reorganizing same. By way of illustration only, Pantry Makeover could include shelving and storage solutions.) Pantry Makeover is currently scheduled to take place for up to eight (8) hours one (1) day in October/November 2022 (exact date TBD pending The Home Edit members’ availability). Grand Prize winner will also receive one (1) year’s supply of GoGo squeeZ pouches (exact assortment of product and flavor at Sponsor’s sole discretion). One year’s supply is forty (40) pouches per month, of GoGo squeeZ (3oz- 4.2oz of product in each pouch). ARV of Grand Prize: $7,314.80. (Actual value of Grand Prize depends on the initial condition of Grand Prize winner’s pantry/snack station and The Home Edit team members’ recommendations for reorganizing same as well as the costs of labor and materials for implementing such recommendations. If actual value of Grand Prize is less than $7,314.80, winner will not receive the difference in cash or otherwise.)

**Members of The Home Edit team may (or may not be) cast members of the reality television series Get Organized with The Home Edit.

Sponsor may require, and household member(s) of Winner must be willing to, voluntarily submit to and complete a background check.

AWARD OF PANTRY MAKEOVER IS SUBJECT TO WINNER’S COMPLIANCE WITH ALL APPLICABLE LAWS AS WELL AS ANY POLICIES OF A HOMEOWNER’S ASSOCIATION, CO-OPERATIVE APARTMENT BOARD OR LIKE NON-GOVERNMENTAL ENTITY. TO THE EXTENT APPLICABLE, IT IS WINNER’S SOLE RESPONSIBILITY AT HIS/HER OWN EXPENSE TO OBTAIN ANY GOVERNMENTAL PERMITS AND/OR LICENSES THAT MAY BE REQUIRED FOR COMPLETION OF THE PANTRY MAKEOVER.

Winner will be required to provide an image of their kitchen pantry (and snack station area), as well as dimensions of the area(s) prior to Pantry Makeover. Sponsor/The Home Edit team may request materials in addition to photo and Winner agrees to provide same. Winner must provide The Home Edit team and Sponsor designees safe and uninterrupted access to their residence to implement The Home Edit team’s recommendations for Pantry Makeover and agrees to fully cooperate with such individuals relative to same. Winner must prepare pantry/snack station (and adjacent areas) of their residence to Sponsor to The Home Edit’s reasonable satisfaction at winner’s sole expense, including the removal of impediments, refuse and debris as well as leashing/restraining any pets. Winner acknowledges and agrees that implementation of Pantry Makeover may result in damage to his/her property and, to the fullest extent permitted by law, winner releases and agrees to hold harmless Promotion Entities from any liability for same under any legal theory. Winner understands that any desired insurance relative to implementation of Pantry Makeover is his/her sole responsibility. Winner will also bear sole responsibility for maintenance and upkeep of pantry/snack station once Pantry Makeover has been completed. TO THE FULLEST EXTENT PERMITTED BY LAW, SPONSOR, THE HOME EDIT, ADMINISTRATOR AND PROMOTION ENTITIES MAKE NO WARRANTY, REPRESENTATION OR GUARANTEE OF ANY KIND, INCLUDING THE WARRANTY OF MERCHANTABILITY OR FITNESS FOR THE INTENDED PURPOSE, AS TO THE PANTRY MAKEOVER.

Pantry Makeover may be photographed and/or filmed, using “Before” and “After” images (“Material“) to advertise/market/promote the Sweepstakes, Sponsor and/or The Home Edit (including possibly the reality television series Get Organized with The Home Edit)at a later date. Grand Prize winner and household member(s) understand and agree that, as between Sponsor/The Home Edit, on the one hand, and Grand Prize winner and household member(s), on the other, Sponsor/The Home Edit shall own any and all rights in and to the Material. And, as such, Sponsor and The Home Edit may (but neither is in any way obligated to) make public, in whole or in part, in any format or medium (whether now known or hereafter developed), including the World Wide Web and Internet, the Material, without notification or compensation to Grand Prize winner or household member(s) (other than Sweepstakes prize won by Grand Prize winner). Such use may include broadcast of “Before” and/or “After” images, in original or altered form and perhaps without identification of Grand Prize winner and household member[s]) as part of the reality television series Get Organized with The Home Edit. Grand Prize winner and household member(s) further agree, upon request of Sponsor and without additional compensation (for Grand Prize winner) or any compensation (for household members), to sign and return all releases and other necessary documents so as to perfect, record or effect the foregoing rights of Sponsor in the Material.

Winner is not entitled to exchange or transfer prize (or any component thereof) or to obtain cash or other substitutes and Sponsor reserves the right to substitute prize of equal or greater value if prize (or any component thereof) is unavailable for any reason. GoGo squeeZ product portion of the prize will only be delivered to a street address in the (48) contiguous United States, or Washington, D.C. With regard to Pantry Makeover, unavailability specifically includes but is not limited to delays in the availability of materials due to supply chain issues, the COVID-19 or any other epidemic/pandemic. Any costs and incidentals associated with Grand Prize acceptance and use not specified herein are the sole responsibility of the winner including any potential construction or renovation needs. Any depictions of Prize (including possible results of Pantry Makeover) included in advertising and other Sweepstakes materials and/or on the reality television series Get Organized with The Home Edit are for illustrative purposes only and do not represent any promise or guarantee as to the final result of Grand Prize. Prize must be accepted by Grand Prize winner with all prize components (as described above). Sponsor may ship different components of prize separately: GoGo squeeZ product portion of Prize may not be delivered at the same time as Pantry Makeover however, both GoGo squeeZ product portion of the prize and Panty Makeover portion will be delivered to/take place at the same residence/mailing address. Sponsor will not replace any lost, mutilated or stolen prize or any prize that is undeliverable or does not reach the winner because of an incorrect or changed address or other contact information. Winner is strictly prohibited from selling, auctioning, trading or otherwise transferring any part of his/her/their prize. Federal, state and local taxes are the sole responsibility of the Grand Prize Winner who will receive an IRS Form 1099 reflecting the final actual value of the Grand Prize. Grand Prize Winner further agrees to fully cooperate with Sponsor/Administrator relative to the issuance of the IRS Form 1099, including by completing and executing an IRS Form W-9 with his/her/their Social Security Number.

Sponsor makes no warranty, representation, or guarantee, express or implied, in fact or in law, relative to the use of any prize (or portion thereof), including, without limitation, its quality, merchantability or fitness for a particular purpose other than any express warranty provided by Sponsor on its products which is limited to its terms.

If Winner is unable to accept Prize on the designated date (with projected date being October/November 2022) for any reason, Prize will be forfeited in its entirety and Prize will be awarded to an alternate winner as per above, time permitting and subject to The Home Edit’s availability. Pantry Makeover date is subject to change. Pantry Makeover is subject to cancellation. Winner and household member(s), if any, must comply with all applicable rules and regulations in connection with Prize. Pantry Makeover is subject to, and Sponsor is not responsible for, changes to production schedule, production exigencies or delays, postponements, or cancellation. Pantry makeover will not exceed eight (8) hours. Sponsor representative (and perhaps other individuals) will also be present at all times during Pantry Makeover. Sponsor shall have no responsibility or liability for cancellations, delays, or any other change by any company or person providing any element of Prize due to reasons beyond Sponsor’s control and are not responsible or liable for any expenses incurred as a consequence thereof.

Winner and household member(s), if any, must follow all instructions of Sponsor and The Home Edit relative to the Prize (including but not limited to wearing appropriate attire, requirements designed to prevent the spread of COVID-19 [such as, mask-wearing, social distancing]). Should Winner and/or household member(s), if any, fail to adhere to any such instructions or engage in unruly, obnoxious, illegal, threatening, or otherwise inappropriate behavior, including but not limited to in connection with any aspect of the Pantry Makeover (as determined by Sponsor/The Home Edit personnel in their sole discretion), Sponsor and The Home Edit each reserve the right, without further notice or warning, to terminate the Pantry Makeover, in whole or in part, and/or take other actions to protect their respective rights as Sponsor and The Home Edit each deem appropriate in their sole discretion without any liability or other obligation to Winner or household member(s).

Should an act of God, hurricane, war, fire, riot, earthquake, act of public enemies, actions of governmental authorities, epidemics, pandemics and the spread of infectious diseases, including without limitation COVID-19 and any related governmental or judicial actions, including but not limited to travel restrictions, taken in connection with, or as a response to, any such event, or any other event beyond the reasonable control of a party, whether or not existing, known, foreseen or foreseeable at the time this Sweepstakes occurs, render the redemption or fulfillment of all or a portion of the Prize delayed, hindered, adversely affected, impracticable, or impossible, Sponsor in its sole and absolute discretion, reserves the right to evaluate, make modifications to, and restructure the redemption and fulfillment processes and timelines for the Prize, or portion thereof, that Sponsor is responsible for, which may include, but is not limited to, providing additional time for redemption and/or fulfillment. Sponsor may modify and/or restructure the Prize or portions thereof to comply with government orders or guidelines and Sponsor’s and/or prize supplier’s health and safety requirements. Should the Prize, or a portion thereof, become unavailable Sponsor shall make reasonable efforts to provide Winner with a substitute prize of a similar nature and value. For clarity, the preceding includes but is not limited to The Home Edit team members being diagnosed with COVID-19 and therefore unable to provide the corresponding services as to the Pantry Makeover prize.

Prize fulfillment and related activities will take place on a date and time designated by Sponsor and only when and in a manner that it is safe to do so, as determined in Sponsor’s sole discretion in consultation with appropriate health and safety experts. Winner and household member(s), if any, must follow all instructions given by representatives of Sponsor, The Home Edit and their designated representatives at all times.

Please be advised that Sponsor’s policies, CDC guidelines, and the recommendations of health officials must be followed. Please note that an indoor location where people are present from multiple different households provides an inherent risk of exposure to COVID-19, and Sponsor cannot guarantee that any person will not be exposed during the Pantry Makeover.

If required, Winner and household member(s), if any, must cooperate with Sponsor’s inquiries related to public health matters and follow Sponsor’s related rules and processes, including, but not limited to, disclosures or processes recommended or required by public health authorities to protect the health and safety of Winner, household member(s), and others. Winner and household member(s) may be subject to health screenings (which may include, but are not limited to, temperature checks, symptom screening, lab testing, and/or other medical exams) to be conducted by Sponsor, The Home Edit or its/their designee(s) prior to or during the fulfillment of the Prize and related activities. Failure to fully comply with Sponsor’s requests or requirements may result in forfeiture of the Prize or portions thereof, as determined in Sponsor’s discretion.

During a period starting approximately four (4) weeks before participation in activities related to the Prize and ending approximately four (4) weeks after participation in the last of such activities (such period(s) subject to change based on medical guidance, and/or policy guidance), Winner and household member(s), may be required to inform Sponsor, upon Sponsor’s request, about matters relating to communicable illnesses (e.g., COVID-19) and safe fulfillment of the Prize and related activities, including, without limitation: (a) medical symptoms; (b) travel history; (c) recent contact with others who have displayed symptoms of or have otherwise been confirmed to have a communicable illness; and (d) active public health orders issued by a civil authority or any similar public health mandate (e.g., order to quarantine, order to stay at home, order to disclose communicable illness) to which Winner and/or household member(s) are/is subject.

COVID-19 Protocols:

Participation in applicable activity/activities may also be conditioned upon provision of proof of a negative COVID-19 test or satisfactory proof of being fully vaccinated against COVID-19 as required by Sponsor and/or its designees.

NOTWITHSTANDING THE FOREGOING, IT IS ALSO POSSIBLE THAT THE COVID-19/CORONAVIRUS PANDEMIC DIRECTLY OR INDIRECTLY MAY COMPEL THE SPONSOR TO DELAY/POSTPONE INDEFINITELY (OR FOR A SIGNIFICANT PERIOD) OR EVEN CANCEL ALTOGETHER THE PRIZE; THE PRECEDING INCLUDES BUT IS NOT LIMITED TO SPONSOR POSTPONING THE PRIZE. IN SUCH CASE (WITH A SIGNIFICANT DELAY BEING DETERMINED BY THE SPONSOR IN ITS SOLE DISCRETION), THE SPONSOR’S LIABILITY SHALL BE LIMITED TO AWARD OF A PRIZE OF ITS SOLE CHOOSING WHICH IS OF COMPARABLE VALUE IN LIEU OF THE PANTRY MAKEOVER.

Conditions and Limitations of Liability: By participating, each entrant agrees: (i) to be bound by these Official Rules and the decisions of Sponsor/Administrator, which shall be final and binding in all respects; and (ii) to release and hold harmless Promotion Entities, each of their respective advertising and promotion agencies, each of the foregoing entities’ respective parent, subsidiary, affiliated and successor companies, and each of their respective officers, directors, agents, representatives and employees, as well as each of their respective successors, representatives and assigns, and any persons involved in the Sweepstakes, as well as Meta Platforms, Inc., TikTok Inc., Pinterest, Inc. and Twitter, Inc. (collectively, the “Released Parties“) from any and all actions, claims, injuries, losses or damages, including, without limitation, death and bodily injury, arising in any manner, directly or indirectly, in whole or in part, from participation in this Sweepstakes or any Sweepstakes-related activity and/or from entrant’s acceptance, receipt, use or misuse of the prize or any component thereof. By accepting prize, Winner grants Sponsor and its designees (including The Home Edit) permission to use their name, voice, likeness, photograph, prize information, biographical data and city and state of residence on a winner’s list and for programming, publicity and promotional purposes, worldwide in all forms of media now known or hereafter developed (including without limitation, in social media messages posted by Sponsor or its designees in connection with the Sweepstakes), in perpetuity, without further compensation unless prohibited by law. Sponsor and its designees are not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at Sponsor’s sole discretion, without further obligation or compensation. Sweepstakes subject to the laws of the United States only. All federal, state and local laws and regulations apply.

Disputes: Except where prohibited, entrants agree that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes, or the awarding of the prize/determination of the Winner, shall be resolved individually, without resort to any form of class action, and exclusively by arbitration pursuant to the Rules of JAMS, then effective (notwithstanding the foregoing, entrant shall not be precluded from seeking relief in small claims court for disputes/claims within the scope of the jurisdiction of small claims court and any remedies available to entrant under applicable federal, state or local law remain available to entrant and are not waived pursuant to this section); (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred (if any), including costs associated with entering this Sweepstakes but in no event attorneys’ fees; and (c) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket costs, and any and all rights to have damages multiplied or otherwise increased and any and all rights to injunctive relief. The arbitrator hearing such dispute/claim/cause of action shall be neutral and the entrant will have a reasonable opportunity to participate in the selection of the arbitrator. Such arbitration will take place at a location near the entrant’s residence and the entrant has the right to an in-person hearing in the arbitration proceeding, if desired. The arbitration will allow for discovery and/or exchange of non-privileged information between entrant and Sponsor. Should an entrant initiate arbitration pursuant to this section, the entrant shall be responsible for JAMS’s fees to do so (approximately, $250), with all other costs of such arbitration being borne solely by Sponsor. If entrant is a California resident and Sponsor prevails in such arbitration, such entrant will not be responsible for Sponsor’s costs and fees in conjunction with the arbitration proceeding; BUT, IN ALL OTHER CASES, ENTRANT WILL BE RESPONSIBLE FOR SUCH COSTS/FEES IF REQUIRED BY THE ARBITRATOR’S RULING. For the avoidance of doubt, the requirement to arbitrate disputes pursuant to this section is reciprocal and binding both upon entrants and Sponsor. IN AGREEING TO ARBITRATION, YOU ARE GIVING UP YOUR RIGHT TO TRIAL IN A COURT OF LAW. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and/or Released Parties in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of New York, without regard for conflicts of law doctrine of New York or any other jurisdiction.
