NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN A PRIZE. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID OUTSIDE OF THE FORTY-EIGHT CONTINENTAL UNITED STATES AND THE DISTRICT OF COLUMBIA AND WHERE PROHIBITED OR RESTRICTED BY LAW. THIS SWEEPSTAKES (DEFINED BELOW) IS INTENDED FOR PLAY IN THE CONTINENTAL UNITED STATES AND DISTRICT OF COLUMBIA (THE “ELIGIBILITY AREA”) ONLY AND WILL BE GOVERNED BY U.S. LAW.  DO NOT ENTER IF YOU ARE NOT ELIGIBLE AND LOCATED IN THE ELIGIBILITY AREA AT THE TIME OF ENTRY.  
 
These “Official Rules” of the “FOREVER 21 X MIAMI FESTIVAL SWEEPSTAKES” (the “Sweepstakes”) shall serve to govern the Sweepstakes. 
 
SWEEPSTAKES ENTRY PERIOD & SPONSOR: The Sweepstakes starts at 12:01 a.m. Pacific Time (“PT”) on 5/4/23 and ends 11:59 p.m. PT on 6/8/23 (“Online Entry Period”) for entry online and on 6/9/23 for entry via U.S. Mail with both methods of entry as detailed below.  The sponsor of the Sweepstakes is F21 OPCO, LLC (“Forever 21” or “Sponsor”), located at 110 East 9th Street, Suite A500, Los Angeles, CA  90079. The Sponsor’s database clock will be the official timekeeper for the Sweepstakes. The Sweepstakes is subject to these official rules (the “Official Rules”) and by entering, each entrant (“Entrant,” “you” or “your”) agrees to be bound by these Official Rules and all applicable federal, state and local laws.
All interpretations of these Official Rules and decisions made by Sponsor relating to the Sweepstakes are final. 
 
ELIGIBILITY: The Sweepstakes is open only to legal residents of the forty-eight (48) Continental United States and the District of Columbia (collectively, the “Eligibility Area”), who as of the date of their Entry (defined below) into the Sweepstakes are eighteen (18) years of age or older. Owners, directors, officers and employees of Sponsor, West Coast Marketing, a division of The Susquehanna Hat Company (“Administrator”) and their respective affiliates and any other person or entity associated with the execution, promotion, fulfillment or advertising of the Sweepstakes (collectively, the “Sweepstakes Entities, Live Nation, Festival Entities (as defined below) and the immediate family members (spouses, parents, legal guardians, in-laws, grandparents, siblings, children and grandchildren) and those living in the same household of any such owners, directors, officers, and/or employees, whether related or not, are not eligible to enter or win in the Sweepstakes. If the prize (detailed below) is won by an individual at least eighteen (18) years of age but considered to be a minor in his/her jurisdiction of residence (a “Minor”), the prize will be awarded in the name of said Minor’s parent or legal guardian. A MINOR SHOULD HAVE HIS OR HER PARENT’S OR LEGAL GUARDIAN’S PERMISSION PRIOR TO ENTERING THE SWEEPSTAKES. The Sweepstakes is void outside the Eligibility Area and where prohibited by law.
  
HOW TO ENTER: There are two (2) methods of entry in the Sweepstakes; via the downloading and the use (as directed herein) of the Forever 21 mobile application (“F21 APP”) or by US Mail without downloading and the use of the F21 APP as detailed herein.  
 
IMPORTANT NOTE: THERE IS A LIMIT OF SIX (6) ENTRIES (DEFINED BELOW) IN THE SWEEPSTAKES REGARDLESS OF METHOD(S) OF ENTRY. 
 
The methods of entry in the Sweepstakes are as follows:
 
DOWNLOADING AND USING THE F21 APP ENTRY METHOD: During the Online Entry Period, download and open the F21 APP (available free for iOS and Android devices at Apple App Store* and Google Play Store* if you don’t already have the F21 APP) or if already downloaded, open the F21 APP.  After opening the F21 APP new users will be presented with the F21 onboarding experience. At the conclusion of the F21 onboarding experience you will be presented with the Sweepstakes entry opportunity. If you already have the F21 APP, any time you open it during the Online Entry Period you will be presented with the Sweepstakes entry opportunity via in-app messaging, push notification (if you have push enabled on your mobile device) and homepage banners.  Complete the required information as directed: providing first name, last name, email address, daytime telephone number and attesting to having read and agreeing to the Official Rules. By successfully completing the foregoing and subject to the entry limitations stated herein you will receive one (1) “APP Entry” in the Sweepstakes.  In addition, if at the time of APP Entry you opt-in to receive promotional messaging from Sponsor, you will receive five (5) additional “Bonus Entries” in the Sweepstakes.
 
APP ENTRY AND BONUS ENTRIES MAY BE REFERRED TO HEREAFTER AS “ONLINE ENTRIES”.
 
US MAIL-IN ENTRY METHOD: To enter by US Mail without downloading and using the F21 APP, on a postcard, handprint your first and last name, street address (no post office boxes), city, state, zip code, daytime telephone number, email address and date of birth and mail to “FOREVER 21 X MIAMI FESTIVAL SWEEPSTAKES”, 22287 Mulholland Hwy., #396, Calabasas, CA 91302. EACH MAIL-IN ENTRY POSTCARD MUST BE POSTMARKED BY 6/9/23 AND RECEIVED BY 6/14/23.  By completing the foregoing and subject to the entry limitations stated herein you will receive six (6) mail-in entries (each a “Mail-in Entry” and in the plural “Mail-in Entries”).
 
All Online Entries and Mail-in Entries submitted in the Sweepstakes which are in compliance with these Official Rules and not disqualified, are considered eligible “Entries”.  All Entries become the sole and exclusive property of Sponsor. Entries will not be returned, and receipt of Entry will not be acknowledged. Proof of Entry will not be deemed to be proof of receipt of entry by Sponsor. 
 
As stated above, there is a limit of six (6) Entries per person regardless of the method(s) of entering. If it is suspected that an Entrant submits more than six (6) Entries in the Sweepstakes, only the first six (6) Entries received shall be considered to be eligible for the Sweepstakes. All additional Entries received above the limit of six (6) Entries shall be declared ineligible and WILL NOT be included in the Sweepstakes random drawing.  
 
In order to submit an Online Entry, a service contract with a cellular telephone or wireless Internet or airtime provider may be required. Check with your service provider for availability and coverage. A wireless access point may be required. Cellular telephone service and/or wireless Internet services may require separately purchased contracts with a cellular telephone service provider or wireless Internet provider with coverage in your service area. Cellular telephone company and/or wireless Internet company determined fees may apply for all Internet usage. In the Sweepstakes you may be using data program time and you may be charged in accordance with your mobile services contract. MESSAGE AND DATA RATES MAY APPLY IF SUBMITTING AN ONLINE ENTRY. Contact your cellular telephone or wireless Internet provider or refer to your service contract for complete details on these and any other applicable charges.  
 
By entering the Sweepstakes, you agree that Sponsor and/or Administrator may contact you via email and/or telephone. 
 
WINNER SELECTION AND NOTIFICATION: One (1) potential winner will be selected in a random drawing from among all eligible Entries on/about 6/15/23. Random drawing will be conducted by Administrator, an independent judging organization, whose decisions are final in all matters relating to this Sweepstakes. The winner will be notified within one (1) business day of the random drawing via email and/or telephone and will be required to respond to such notification within twenty-four (24) hours, confirming first and last name, complete street address (no post office boxes), city, state, zip code, daytime telephone number and email address, verifying eligibility in the Sweepstakes and his/her ability to accept the prize as detailed herein. 
 
In addition (or after the potential winner responds as detailed above), the potential winner will be sent three (3) separate documents via email: (1) an Affidavit of Eligibility/Release of Liability and Publicity Release form (the “Affidavit”); (2) an IRS #W-9 form; and (3) a Travel Companion Release of Liability form (“Travel Companion Release”). These three (3) documents may be referred to hereafter as the “Required Documents”. The potential winner (or potential winner’s parent or legal guardian if potential winner is a Minor) will be required to execute and return Required Documents for receipt within three (3) days of date of issuance. An overnight delivery air bill will be provided to facilitate return of executed Required Documents.  Failure to return Required Documents in this time period may result in such potential winner being disqualified and (at Sponsor’s sole discretion) and time permitting, a subsequent drawing held to pick an alternate prize winner. Any prize notification or prize that is returned to Sponsor, Administrator or their fulfillment company as undeliverable for any reason will be forfeited, and Sponsor shall have the option to award the prize to an alternate or not. All Federal, state and local taxes are sole responsibility of the winner. 
 
Potential winner’s failure to respond to notification, execute and return all Required Documents as detailed above, or to comply with any other provision set forth in these Official Rules may result in the potential winner being disqualified and an alternate potential winner may or may not be selected at Sponsor’s sole discretion. Potential winner’s failure to respond to notification, execute and return all Required Documents as detailed above, or to comply with any other provision set forth in these Official Rules may result in the potential winner being disqualified and an alternate potential winner may or may not be selected at Sponsor’s sole discretion. Once all correctly completed and executed Required Documents have been received from potential Grand Prize winner by Administrator such potential Grand Prize winner shall be referred to as the official “Grand Prize Winner” of the Sweepstakes.
 
PRIZE: Only one (1) Grand Prize will be awarded (the “Grand Prize”). The Grand Prize will consist of a trip (“Trip”) for the eligible Grand Prize Winner and one (1) travel companion (“Travel Companion”) to Miami, Florida (“Miami”) during the anticipated dates of 7/20/23-7/24/23. The Trip includes the following: (i) round trip (“R/T”) economy (coach) class airfare for two (2) people from the major U.S. gateway airport nearest the Grand Prize Winner’s hometown (as determined by Sponsor) to Miami (“Flights”); (ii) four (4) consecutive nights hotel accommodations (single standard room, double occupancy; room and room tax only) at a hotel (“Hotel”) in/near the Miami area (as specifically determined by Sponsor); (iii) two (2) VIP 3-day festival tickets to “Rolling Loud® Miami at Hard Rock Stadium in Miami, FL(the “Festival”); (iv) a $200 pre-paid bank card; and (v) a $300 Forever 21 eGift Card. The approximate retail value (“ARV”) of the Grand Prize is $4,800.00. The actual value of the Grand Prize may vary depending on city of departure, dates and times of travel, airfare fluctuations and Hotel charges at the time of travel bookings. Therefore, the actual value of the Grand Prize awarded may be lower or higher at the time it is fulfilled.  Any difference between actual value and stated ARV will not be awarded.  Ticket delivery method is at sole discretion of Live Nation which will be either sent to winner by mail, email, mobile ticketing or placed at venue Will Call the day of Festival under the winner’s name. Winner must be present to pick up tickets and a valid photo ID will be required if tickets are placed at Will Call. Winner and Travel Companion must abide by all Festival/venue policies: https://rollingloud.zendesk.com/hc/en-us. Live Nation reserves the right to revoke full or partial prize from any winner or winner’s Travel Companion who it and/or Festival/venue personnel deem may, in their sole discretion, be intoxicated, be a safety risk, have violated any Festival/venue policy or law, and/or may bring Live Nation into disrepute.  Resale of tickets is prohibited.  By claiming tickets, you agree to Front Gate Tickets Terms of Use and to abide by the health and safety measures in effect at the time of the Festival, which may include, but not be limited to, wearing masks, providing proof of vaccination status and/or providing proof of negative COVID-19 status. Should the Festival be cancelled, you will be notified as soon as reasonably possible. Travel is subject to the restrictions and conditions set forth below.  Grand Prize Winner must be able to travel on dates necessary to attend the Festival (as determined by Sponsor) or Grand Prize Trip will be forfeited in its entirety. Any costs associated with Grand Prize receipt and/or use that are not expressly stated above are not included in the Grand Prize and are the responsibility solely of the Grand Prize Winner and his/her Travel Companion.  Such costs may include, without limitation, any ground transportation, any unspecified state or local taxes or government surcharges or fees, including, but not limited to, airport fees, Trip and travel insurance and premiums, excursions, meals, drinks, incidentals, gratuities, telephone calls, charges for changing dates or other personal costs and expenses not specified herein, and are the sole responsibility of the Grand Prize Winner and his or her Travel Companion.  All travel arrangements are to be administered by Sponsor or its designee.  All aspects of the Trip, including, but not limited to, specific airline(s), Flights, Hotel and Festival tickets are at the sole discretion of the Sponsor. Grand Prize Winner and his or her Travel Companion will be required to travel on identical itineraries including the same departure city, departure date, destination and return date.  If winner is a Minor in his/her state of residence, the Travel Companion must be winner’s parent or legal guardian.  A Minor may accompany winner as a Travel Companion only if the winner is the Minor’s parent or legal guardian.  Minor must be accompanied at all times during Trip (including, but not limited to, in-flight, hotel stay and all prize-related events) by Minor’s parent or legal guardian.  Background checks of Grand Prize Winner and his or her Travel Companion may be performed at the sole discretion of Sponsor. Negative information may result in Grand Prize Winner and/or Travel Companion being declared as ineligible to participate in Grand Prize Trip or any element therein at Sponsor’s sole discretion. Grand Prize Winner and his or her Travel Companion will be required to provide valid government-issued photo ID (Real ID may be required) at time of travel as required by airline, airport, Hotel and TSA/government authorities and follow all TSA, airline, Hotel and governmental Covid protocol regulations and requirements. Winner and Travel Companion must comply with all airline, CDC regulations, and local government laws, rules and requirements, which may include, without limitation, wearing masks, proof of vaccination status, proof of negative Covid-19 test administered by an approved facility, and possible quarantine. Sponsor or Live Nation will not be liable for additional costs or expenses due to any quarantine requirements, including the cost of changing any travel or hotel arrangements, which shall be the sole responsibility of winner. Winner understands that there are inherent risks involved in travel and that these risks may be present before, during and after the trip.  Sponsor or Live Nation are not responsible for changes in schedule of any element of the prize or for any expenses incurred as a consequence of flight cancellation or delay. Sponsor or Live Nation are not responsible and will have no liability if winner and/or Travel Companion are for any reason not permitted to travel by the relevant airport authorities or misses a flight or other travel element. A valid credit card or cash deposit by Grand Prize Winner may be required by Hotel at time of check-in for incidentals. If accepting the Trip, Grand Prize Winner and Travel Companion will be required to follow all Sponsor and state and local governmental Covid-compliance regulations and requirements during the Trip. If Grand Prize Winner elects to travel or partake in Trip with no Travel Companion, no additional compensation will be awarded.  Flight transportation and Hotel accommodations must be taken together and cannot be taken separately. No changes will be made to travel details once any element(s) of the travel arrangements have been booked except at Sponsor’s sole discretion. All airline tickets issued in conjunction with Grand Prize are not eligible for frequent flyer miles or any other promotional benefit. Sponsor or its designee will not replace any lost or stolen tickets, travel vouchers or certificates or similar items once they are in the Grand Prize Winner’s possession, or in the possession of the Grand Prize Winner’s Travel Companion.  Grand Prize travel is subject to capacity controls, availability, holiday and other blackout dates and certain other restrictions and conditions, which may include a Saturday night stay, all of which are subject to change.  Sponsor or Live Nation reserve the right to provide ground transportation in lieu of air transportation if, in Sponsor’s or Live Nation’s sole opinion, the winner resides within two hundred (200) miles from Festival venue.  In such case, air transportation will not be provided and no additional prize element substituted. No additional prize element will be substituted except at Sponsor’s sole discretion. Sweepstakes Entities or Live Nation are not responsible for changes in any element of Grand Prize schedule including, but not limited to Flight(s) and Festival dates and times. No stopovers are permitted on tickets issued as part of the Grand Prize; if a stopover occurs, the Grand Prize will terminate and full fare will be charged from the stopover point for the remaining trip segment(s), including the return. Once Hotel and Flight arrangements have been confirmed, no changes will be allowed except by Sponsor at its sole discretion.  Any unclaimed and/or unused Grand Prize travel package will remain the property of Sponsor.  
 
Acceptance of Grand Prize constitutes permission (except where prohibited) granted to Sponsor to use the Grand Prize Winner’s and Travel Companion’s name, likeness, picture, voice, biographical information and statements for publicity, advertising, trade and promotional purposes in connection with the Sweepstakes and/or Sponsor in any and all media and manner, and by any and all means now known or hereafter devised in perpetuity worldwide without additional consideration, compensation or limitation of any kind, and without the need to get any further consent.  This shall include any photographic still, or video recordings taken during any portion of Trip. Any and all such recordings shall at all times be owned by, and the exclusive property of, Sponsor.
 
Awarding of Grand Prize is subject to the Grand Prize Winner’s acceptance of all requisite conditions within these Official Rules and Grand Prize Winner’s ability and agreement to grant the rights set forth in these Official Rules and all required documents detailed herein.   
 
POTENTIAL GRAND PRIZE WINNER IS SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE SWEEPSTAKES.  AN ENTRANT IS NOT A WINNER OF THE GRAND PRIZE UNLESS AND UNTIL ENTRANT’S ELIGIBILITY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE.   
 
ODDS OF WINNING: The odds of winning the Grand Prize in the Sweepstakes are determined by the total number of eligible Entries received and are equal regardless of method of Entry.  
 
PRIVACY:  All information collected by Sponsor in connection with participation in the Sweepstakes will be subject to Sponsor’s Privacy Policy available at https://www.forever21.com/us/privacypolicy.html.  If as part of your Online Entry you opted in to receiving promotional emails from Forever 21, from time to time, Sponsor may send you promotional emails as requested. You understand that any personally identifiable information you provide will be used only in a manner consistent with these Official Rules and Sponsor’s Privacy Policy. Entry into the Sweepstakes constitutes consent to transfer personal information collected by Sponsor for the purposes of administering the Sweepstakes and for such other purposes to which an Entrant may consent to as set forth in these Official Rules. . 
 
INDEMNIFICATION: Each Entrant agrees to indemnify, defend and hold harmless each of the Sweepstakes Entities, Live Nation Worldwide, Inc. (“Live Nation”);  Rolling Loud, LLC, TCMZ LLC, Insomniac Holdings, LLC, BZTC LLC, South Florida Stadium LLC, Miami Dolphins, Ltd., and each of their respective owners, parents, partners, subsidiaries and affiliates, whether direct or indirect, and all members, partners, shareholders, directors, officers, agents, representatives, employees, successors and assigns of any of the foregoing (collectively “Festival Entities”) any and all internet servers and application and service providers and each of their respective successors and assigns, and each of their respective owners, shareholders, directors, officers, employees, agents and representatives (collectively, the “Releasees”) from and against any and all claims, demands, damages, costs, liabilities and causes of action of whatsoever nature that are based upon or arise out of (i) any breach by Entrant of these Official Rules or the warranties and representations made by Entrant in these Official Rules, or (ii) Sponsor’s exercise of any rights granted by Entrant in these Official Rules.
       
RELEASE OF LIABILITY: The Releasees are not responsible for: any incorrect or inaccurate Entry information; human errors; technical malfunctions; failures, omissions, interruptions, deletions or defects of any telephone network, computer online systems, computer equipment, servers, providers, hardware or software, including without limitation any injury or damage to any Entrant’s or any other person’s computer or wireless device relating to or resulting from participation in the Sweepstakes; theft, tampering, destruction, or unauthorized access to, or alteration of, Entries; data that is processed late or incorrectly or is incomplete or lost due to telephone, computer or electronic malfunction or traffic congestion on telephone lines or the Internet or any web site or for any other reason whatsoever; typographical, printing or other errors; the inability to connect to any application or web site; the inability to receive emails or telephone calls; any other Sweepstakes related materials which are late, lost, incomplete, misdirected, stolen, mutilated, illegible, or any combination thereof.  Entrants, by participating in the Sweepstakes, agree that the Releasees shall have no liability whatsoever for, and shall be held harmless by Entrants against, any liability for any injuries, losses or damages of any kind, including, but not limited to, death or injury to persons, or property loss or damage, relating or resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse, inability to use or use of any prize or participation in the Sweepstakes. Proof of attempting to submit an Entry is not considered proof of delivery or receipt.  Illegible or incomplete Entries, or Entries in excess of the limits stated above will be disqualified.  All Entries become the property of the Sponsor and will not be acknowledged or returned.  False, fraudulent or deceptive Entries or acts shall render its Entrant(s) ineligible.   
 
FORCE MAJEURE: Releasees shall not be liable to a winner or to any other person for failure to supply a prize or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, pandemic, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, network or computer problems, internet problems, hacking, computer viruses, unauthorized computer access, tampering, or any other cause beyond Sponsor’s sole control.  Releasees shall not be responsible for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by the air carrier(s), Hotel(s), or other transportation companies or any other persons providing any of these services and accommodations to passengers including any results thereof such as changes in services or accommodations necessitated by same.  Releasees’ legal responsibility for loss or damage to baggage shall be strictly governed by the Warsaw Convention and the other applicable conditions of carriage set forth on the passengers’ tickets.
 
GENERAL:  If for any reason the Sweepstakes is not capable of running as planned, or if the Sweepstakes or any web site or application associated therewith (or any portion(s) thereof) become(s) corrupted or does not allow for Entry in the Sweepstakes and/or processing of Entries in accordance with these Official Rules, or if infection by computer virus, bugs, tampering, unauthorized intervention, actions by Entrants, fraud, technical failures, or any other causes, in the Sponsor’s sole opinion, corrupts or affects the administration, security, fairness, integrity, or proper conduct of the Sweepstakes, Sponsor reserves the right, at its sole discretion, to disqualify any individual implicated in such action and/or to cancel, terminate, modify, or suspend the Sweepstakes or any portion thereof.  In the event the Sweepstakes is cancelled, Sponsor may (at Sponsor’s sole discretion) conduct a random drawing to award the applicable stated prize from among all eligible, non-suspect Entries received prior to the time of the action or event warranting such cancellation.  If such cancellation, termination, modification, or suspension occurs, notification will be posted within the F21 APP. The Releasees are not responsible for the actions of Entrants in connection with the Sweepstakes, including Entrants’ attempts to circumvent these Official Rules or otherwise interfere with the administration, security, fairness, integrity or proper conduct of the Sweepstakes. Persons found tampering with or abusing any aspect of the Sweepstakes, or who Sponsor believes to be causing malfunction, error, disruption or damage may be disqualified. Additionally, any attempt to cheat in connection with the Sweepstakes, as determined at the sole and absolute discretion of Sponsor, may result in immediate disqualification of the Entrant, as well as other possible consequences, including disqualification from any and all existing and future sweepstakes, contests or promotions sponsored or administered by Forever 21.  ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DAMAGE OR CORRUPT ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES OR PART THEREOF IS A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE; SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. 
 
If a dispute arises about who submitted an Online Entry, the Online Entry will be deemed submitted by the authorized account holder of the email address used. The natural person who is assigned to an email address by an Internet access provider, service provider, or other online organization that is responsible for assigning email addresses for the domain associated with the submitted email address is deemed the authorized account holder of the email address used for the Online Entry. A potential prize winner may be requested to provide the Sponsor with proof that he/she is the authorized account holder of the email address associated with the winning Entry and that all eligibility requirements are met.  
 
In the event a dispute regarding the identity of the individual who actually submitted an Entry cannot be resolved to Sponsor’s satisfaction, the affected Entry will be deemed ineligible.  The Releasees are not responsible for electronic communications that are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in Entrant’s email account to receive email messages or for email messages that go to spam or junk folders.  Also, the Releasees are not responsible, and may disqualify an Entrant, if his or her email address or telephone number does not work or if it is changed without Entrant giving prior written notice to Sponsor or if email notifications are directed to Entrant’s spam or junk folder.
 
Entry must be made by the Entrant only as detailed above. Entries made by any other individual or any entity, and/or originating at any other web site or email address, including, but not limited to, commercial promotion or sweepstakes subscription notification and/or entering service sites, will be declared invalid and disqualified for the Sweepstakes.  Entries generated by a script, computer programs, macro, programmed, robotic or other automated means are void and may be disqualified. The use of any device or software to automate the Entry process is prohibited. Entries or other Entrant-generated Sweepstakes materials that are incomplete, illegible, corrupted, damaged, destroyed, forged, false, lost, late, misdirected, deceptive, in greater quantity than the limit stated above or otherwise not in compliance with the Official Rules may be disqualified from the Sweepstakes at Sponsor’s sole and absolute discretion.
 
MISCELLANEOUS: The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.  Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision.  Entrants agree to waive any rights to claim ambiguity of these Official Rules.  Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of these Official Rules or any provision hereof.  In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials, privacy policy or terms of use within the F21 APP and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control and the discrepancy will be resolved in Sponsor’s sole and absolute discretion.
 
GOVERNING LAW; INDIVIDUAL ACTIONS: All issues and questions concerning the construction, validity, interpretation and enforceability of these Rules or the rights and obligations of the Entrants and Releasees in connection with the Sweepstakes will be governed by and construed in accordance with the laws of the State of California, without reference to any conflict of laws rules. 
 
BY ENTERING THIS SWEEPSTAKES, EACH ENTRANT AGREES THAT TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SWEEPSTAKES, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED FIFTY DOLLARS ($50.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT-OF-POCKET EXPENSES NOT TO EXCEED FIFTY DOLLARS ($50.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) ENTRANT’S REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OR EXCLUSIONS OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO SPECIFIC ENTRANTS.  
 
BINDING ARBITRATION: SPONSOR AND ENTRANTS AGREE THAT ANY DISPUTE, CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THE SWEEPSTAKES OR THESE OFFICIAL RULES OR THEIR ENFORCEMENT, ARBITRABILITY OR INTERPRETATION, SHALL BE SUBMITTED TO, AND DETERMINED BY, FINAL AND BINDING ARBITRATION BROUGHT ON AN INDIVIDUAL BASIS (SEE ABOVE SECTION) IN ACCORDANCE WITH THE RULES OF JAMS (JUDICIAL ARBITRATION AND MEDIATION SERVICES). THE ARBITRATION SHALL BE HELD IN LOS ANGELES, CALIFORNIA.  THE ARBITRATOR SHALL BE SELECTED BY MUTUAL AGREEMENT OF THE PARTIES, OR IF THE PARTIES CANNOT AGREE, THE ARBITRATOR SHALL BE APPOINTED BY JAMS. THE FEES OF THE ARBITRATOR SHALL BE BORNE EQUALLY BY THE PARTIES, PROVIDED THAT THE ARBITRATOR MAY REQUIRE THAT SUCH FEES BE BORNE IN SUCH OTHER MANNER AS THE ARBITRATOR DETERMINES IS REQUIRED IN ORDER FOR THIS ARBITRATION CLAUSE TO BE ENFORCEABLE UNDER APPLICABLE LAW. THERE SHALL BE A RECORD OF THE PROCEEDINGS AT THE ARBITRATION HEARING AND THE ARBITRATOR SHALL ISSUE A STATEMENT OF DECISION SETTING FORTH THE FACTUAL AND LEGAL BASIS FOR THE ARBITRATOR’S DECISION. ALL ARBITRATION PROCEEDINGS SHALL BE CONFIDENTIAL AND CLOSED TO THE GENERAL PUBLIC.
