THIS SWEEPSTAKES IS IN NO WAY SPONSORED, ENDORSED, ADMINISTERED BY, OR ASSOCIATED WITH TWITTER, INC. (“TWITTER”) OR INSTAGRAM (“INSTAGRAM”).
Eligibility: The Citi®/American Airlines AAdvantage® 35th Anniversary Sweepstakes (“Sweepstakes”) is open only to individuals who are: 1) American Airlines registered members in good standing (defined in accordance with other American Airlines/cardmember terms and conditions) of the American Airlines AAdvantage® program; and 2) a Citi®/AAdvantage® Mastercard® (“Card”) cardmember in good standing at the time of entry, at the time of winner selection, and at the time prizes are awarded whose account was opened by an American Airlines Mastercard customer financial institution before 9/26/22. Individuals must be legal residents of the fifty (50) United States (including D.C. and the U.S. Territories), and the legal age of majority (which is eighteen (18) in most states but is nineteen (19) in Alabama and Nebraska and twenty-one (21) in Mississippi) in their states of residence before 9/26/22. Void where prohibited by law. Employees, officers and directors of American Airlines, Inc. (“Sponsor” or “American Airlines”), Citibank, N.A. (“Citibank”); Mastercard International Incorporated (“Mastercard”), teamDigital Promotions, Inc. (“Administrator”), and each of their respective parent companies, affiliates, distributors, subsidiaries, prize providers, advertising/promotion agencies and the immediate family members (i.e., spouses, parents, children, grandchildren and siblings and their respective spouses) and/or those living in the same household of any of the foregoing are not eligible to enter or win a prize in this Sweepstakes. Sponsor, Citibank, Mastercard, Administrator, and each of their respective parent companies, affiliates, distributors, subsidiaries, prize providers, and advertising/promotion agencies are each a “Released Party” and shall hereinafter collectively be referred to as the “Released Parties”.
Sweepstakes Period: Sweepstakes begins at 12:00:01AM Eastern Time (“ET”) on 9/26/22 and ends at 11:59:59PM ET on 10/23/22 (“Sweepstakes Period”), and consists of four (4) individual weekly entry periods (each, an “Entry Period”) and one (1) Grand Prize entry period (“Grand Prize Period”) as outlined in the table below. The Sponsor’s designated database clock will be the official timekeeping device used by Administrator for this Sweepstakes.

How to Enter: There are two (2) methods of entry in this Sweepstakes: (1) via Twitter; and (2) via Instagram. During the Sweepstakes Period, entrants will be asked to share their dream vacation on Instagram or Twitter (hereafter collectively, “Submission”) by following the instructions below for each entry method.

Twitter: During the Sweepstakes Period, after logging into your Twitter account, using the hashtag #ShareYourDream & #Sweepstakes (the “Sweepstakes Hashtag”), post a tweet from your Twitter account sharing your dream vacation. Each tweet must contain your two-hundred and eighty (280) character response that includes the Twitter Hashtag (#ShareYourDream & #Sweepstakes), a description of your dream vacation, and your Twitter profile settings must be public to be eligible for the Sweepstakes. Submissions that do not follow this format will be discarded or ignored and will not earn an entry into the Sweepstakes. Twitter Submissions may include a photo, but a photo is not required as a part of your Submission in the Sweepstakes. Submissions submitted in the form of a video will be ineligible. The content of the Submission will not be used as a factor in determining the winners and will not in any way affect your chances of winning, except to the extent it violates these Official Rules and results in disqualification. If you do not have a Twitter account you may sign-up for free by visiting Twitter.com and following the enrollment instructions. By using the Twitter Hashtag in connection with your Submission, you are acknowledging and agreeing that Sponsor has the right to use your Submission as set forth in these Official Rules. Sponsor may not receive Submissions that fail to strictly follow the posting instructions set forth in these Official Rules and Sponsor is not responsible for failure to see or receive an entry. Messages not received by Sponsor will not be entered into the Sweepstakes. NOTE: Sponsor may not receive Submissions from Twitter users with “protected” updates (i.e., user has set their Twitter account so that only people the user has approved can view their updates) due to the way Twitter operates its service. By using the Twitter Hashtag in connection with your Submission, you are acknowledging and agreeing that Sponsor has the right to use your Submission as set forth in these Official Rules and confirming your acceptance and agreement to these Official Rules.

Instagram: During the Sweepstakes Period, after logging into your Instagram account, post your entry through your Instagram account using the hashtag #ShareYourDream & #Sweepstakes (the “Sweepstakes Hashtag”). Each post must contain your two-hundred and eighty (280) character response that includes the Instagram Hashtag (#ShareYourDream & #Sweepstakes), a description of your dream vacation, a photo of your dream vacation, and your Instagram profile settings must be public to be eligible for the Sweepstakes. Submissions that do not follow this format will be discarded or ignored. Submissions submitted in the form of a video will be ineligible. The content of the Submission will not be used as a factor in determining the winner and will not in any way affect your chance of winning, except to the extent it violates these Official Rules and results in disqualification. If you do not have an Instagram account you may sign-up for free by visiting Instagram.com and following the enrollment instructions. By using the Instagram Hashtag in connection with your Submission, you are acknowledging and agreeing that Sponsor has the right to use your Submission as set forth in these Official Rules. Sponsor may not receive Submissions that fail to strictly follow the posting instructions set forth in these Official Rules and Sponsor is not responsible for failure to see or receive an entry. NOTE: Sponsor may not receive Submissions from Instagram users with “private” account settings (i.e., user has set their Instagram Account so that only people the user has approved can view their photos) due to the way Instagram operates its service. Messages not received by Sponsor will not be entered into the Sweepstakes. By using the Instagram Hashtag in connection with your Submission, you are acknowledging and agreeing that Sponsor has the right to use your Submission as set forth in these Official Rules and confirming your acceptance and agreement to these Official Rules.

Entrants may participate in the Sweepstakes via their mobile devices and/or computers. Sweepstakes is not skill-based – submissions will not be judged. Data rates apply to entrants who submit or participate via a wireless mobile device.
All Submissions must be received by 11:59:59PM ET for each applicable Entry Period (referenced in chart above) to be eligible for this Sweepstakes. Once your Submission is posted, it may not be modified or edited. There is a limit of one (1) Submission per Twitter account, and one (1) Submission per Instagram account, per person per day (for a total of no more than two (2) Submissions per person per day). If an entrant submits more than one (1) Submission on Twitter or Instagram in any given day, then all Submissions received on each platform after the first Submission on that given day will be void. Any attempt to use multiple names, Twitter accounts, or Instagram accounts or other tactics to enter this Sweepstakes more than the stated limit may result in the disqualification of the Submission by the Sponsor from the Sweepstakes and all associated Submissions will be void. No Released Party is required to enter into any correspondence about Submissions, nor to acknowledge or return any Submission.
Submissions must follow applicable Twitter and Instagram size and format requirements. Incomplete Submissions, Submissions without the required Sweepstakes Hashtag, re-tweets, Submissions that do not comply with the Submission Guidelines (outlined below) or any images or language communicating messages inconsistent with the positive images to which Released Parties wish to associate will be void. See Submission Guidelines below for additional criteria. All Submissions must comply with applicable Twitter (https://twitter.com/en/tos), and Instagram (https://help.instagram.com/581066165581870) rules and terms of service. Subject to these Official Rules and applicable Twitter and/or Instagram terms of service and except where otherwise prohibited by law, all Submissions become the physical property of Sponsor and will not be returned. Your participation constitutes your consent for Sponsor to obtain, use, and transfer your Submission, name, Twitter handle, and/or Instagram username, address and/or other details (collectively, “Sweepstakes Data”) for Sweepstakes administration purposes. Released Parties are not responsible for late, lost, stolen, incomplete, misdirected, delayed, garbled, damaged, inaccurate or undelivered Submissions, direct messages, replies, Submission comments/photos, Tweets, emails or Sweepstakes Data, theft, destruction or unauthorized access to, or alteration of Sweepstakes Data, defect/delay in transmission or communication, including, but not limited to, Instagram and/or Sweepstakes Hashtag use or for telephonic, human or computer failures, problems or errors, interruptions in service, whether via Twitter, Instagram or otherwise, due to system upgrades, repairs, modifications or other causes, defect or delay in transmission, failures or malfunctions of connections, satellite, network, cable, Internet Service Provider (ISP), phones, phone lines or telephone systems, traffic congestion on the internet, technical or mechanical malfunctions, or other malfunctions, errors or delays, whether caused by equipment, programming, human error or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors which may occur in connection with the administration of the Sweepstakes, the processing of direct messages, emails or Submissions, Sweepstakes Data, the announcement of prizes and winners, the cancellation or postponement of the Sweepstakes, for any injury or damage to entrant’s or any other person’s computer or other device relating to or resulting from participation in this Sweepstakes, or for printing, typographical, human or other errors appearing in these Official Rules, in any Sweepstakes-related advertisements or other materials. Sponsor may void Submissions of any entrant who Sponsor believes has attempted to tamper with or impair Sweepstakes administration, security, fairness, or proper play. Use of any device to automate or subvert Submission is prohibited and any Submissions received by such means will be void. No software-generated, robotic, programmed, script, macro or other automated Submissions are permitted and any Submissions received by such means will be void.
Submission Guidelines: In addition to that described above, any Submissions that meet the below criteria will be void and considered an ineligible Submission:

Submissions cannot contain or otherwise infringe on any third party names, trademarks, music, identities, copyrighted material, and/or other material subject to third party rights;
Submissions cannot be obscene, offensive, contain any profanities, endorse any form of hate or hate group, or any language or images communicating messages inconsistent with the positive images to which Released Parties wish to associate;
Submissions cannot be sexually explicit or suggestive, violent or derogatory of any ethnic, racial, gender, religious, professional or age group, profane or pornographic, or contain nudity or any materially dangerous activity;
Submissions cannot promote illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any particular political agenda or message;
Submissions cannot contain disparaging remarks, defame, misrepresent, invade the publicity, third party rights and/or the privacy rights of Sponsor, Released Parties, their products or any trademarks or other intellectual property they own, other products or companies, or any person, living or deceased;
Submissions cannot contain trademarks owned by others, or advertise or promote any brand or product of any kind, without permission, or contain any personal identifiable information, such as personal names, email addresses, etc.; and
Submissions cannot be in violation of any law, statute, regulation, or ordinance.

Sponsor reserves the right to void any Submission and disqualify any entrant not satisfying these requirements, in its sole discretion.
By submitting a Submission, you represent and agree that: (i) the Submission does not violate any law or regulation or any right of any third party, including those laws, regulations, and rights related to copyrights, trademarks, publicity, or privacy; (ii) you have the right to grant the rights to a Submission as provided in these Official Rules; (iii) the Submission has not been published or submitted in any other competition or promotion; (iv) the Submission is your original work; (v) the Submission has not won previous awards; (vi) you have obtained permission from any person whose name or likeness is used in the Submission; and (vii) that publication of the Submission via various media including social posting, will not infringe on the rights of any third party. You will indemnify, defend and hold harmless Sponsor and the other Released Parties, Twitter, and Instagram from any claims to the contrary. Further, by submitting a Submission, you grant permission and a non-exclusive, royalty-free, worldwide, irrevocable right and license for Sponsor and Sponsor’s affiliates to publish, post, adapt, edit, display, and/or modify or otherwise use the Submission in any form, in any manner, and in any media, without any time or territorial limitation, deemed appropriate by Sponsor or the Sponsor’s affiliates, without compensation of any kind to you. You further agree that submission of a Submission is gratuitous and made without restriction and will not place Sponsor under any obligation and that Sponsor is free to discuss or otherwise disclose the ideas contained in the Submission on a non-confidential basis to anyone or otherwise use the ideas without any additional compensation to you. You acknowledge that, by acceptance of your Submission, Sponsor does not waive any rights to use similar or related ideas previously known to Sponsor, or developed by its employees, or obtained from sources other than you. Sponsor reserves the right to screen Submissions, but may post Submissions without editing or other prior review. You acknowledge that Sponsor has no obligation to use or post any Submission that you submit.
Selection of Winners/Odds: Potential winners will be selected in a random drawing on dates referenced in chart above from among all eligible Submissions received during each applicable Entry Period. Non-winning Submissions received for one (1) Entry Period drawing will carry forward to subsequent Entry Period drawings. All eligible Submissions received during the Sweepstakes Period will be eligible in the Grand Prize drawing at the end of the Sweepstakes. Drawing will be conducted by Administrator. By participating, entrants agree to the terms of these Official Rules and to the decisions of the Sponsor, which will be final and binding in all matters relating to the Sweepstakes.
Potential winners will be contacted by Sponsor’s designated representative by either: 1) Posting a comment on that potential winners’ Submission, which will require the potential winners to direct message the Sponsor and provide their contact information within twenty-four (24) hours of issuance of notification, or 2) Via direct message to potential winners and such potential winners will be required to respond as instructed via direct message to Sponsor and provide their contact information within twenty-four (24) hours of issuance of notification. Sponsor shall have the right to announce the winners on its social feeds (Instagram or Twitter, or otherwise), in its sole discretion. Limit one (1) First Prize per person, per household and per email address (as linked to the entrant’s Twitter and/or Instagram account) for this Sweepstakes. Prizes will be awarded to the person who is the authorized account holder of the Twitter or Instagram account from which a winning Submission was submitted, subject to eligibility verification, and compliance with these Official Rules.
Potential winner must: (i) demonstrate he/she has a Card open and in good standing at time of winner selection and prize fulfillment; and (ii) provide Administrator with the primary cardmember’s AAdvantage number and any additional information required by Administrator. If Card is not open or in good standing, or if any information requested by Administrator is not provided or verified by the Administrator, in its sole discretion, the prize will be forfeited and may result in disqualification and awarding of a prize to an alternate potential winner from among the remaining eligible Submissions in accordance with these Official Rules. A potential winner is not a winner of any prize unless and until the entrant’s eligibility has been verified and the entrant has been notified that verification is complete. Odds of winning a First Prize will depend on the total number of eligible Submissions received during each applicable Entry Period. Odds of winning a Grand Prize will depend on the total number of eligible Submissions received during the Sweepstakes Period.
Prizes: One (1) Grand Prize (at the end of the Sweepstakes Period) and four (4) First Prizes (one (1) First Prize at the end of each Entry Period) will be awarded in this Sweepstakes. Federal, state, and local taxes and all other expenses not specified herein are winner’s sole responsibility. The value of any prize awarded to a winner may be reported for tax purposes as required by law. Each winner may be required to provide Sponsor with a valid social security number before the prizes will be awarded for tax reporting purposes. An IRS Form 1099 may be issued in the name of each First Prize and Grand Prize winner for the actual value of the prizes received. Unclaimed prizes will be forfeited. The Released Parties are not responsible for and will not replace any lost, mutilated or stolen prize(s) or any prize that is undeliverable or does not reach a winner because of an incorrect or changed address. If a winner does not accept or use the entire prize, the unaccepted or unused part of the prize will be forfeited and the Released Parties will have no further obligation with respect to that prize or portion of the prize.
One (1) Grand Prize: Grand Prize winner will receive a trip valued at up to $35,000 (including air transportation) exact details of trip to be determined by Sponsor in their sole discretion, 350,000 AAdvantage® Miles, and $14,000 in the form of a check that may be used to offset taxes. Approximate Retail Value (“ARV”) = $56,600.
Four (4) First Prizes: Each First Prize winner will receive 70,000 AAdvantage® Miles (ARV = $1,505 each).
Total ARV of all Sweepstakes related prizes = $62,620.
Miles Terms and Conditions: American Airlines AAdvantage® Miles (“Miles”) will be deposited into winners’ American Airlines AAdvantage® program account approximately four (4) weeks after winner verification is complete. Blackout dates may apply to future travel on American Airlines flights. Winners can unsubscribe from the American Airlines AAdvantage® program following redemption of all awarded miles. If AAdvantage® miles are redeemed for air transportation, the winner is responsible for the full cost of transportation to and from their departure and arrival city. Winners are responsible for any and all applicable fees, service charges, surcharges or passenger facility charges and all insurance costs, federal, state, local and foreign taxes, if any, gratuities, meals, incidentals and any other unspecified expenses associated with acceptance or use of the Miles prize. AAdvantage® flight awards are subject to, and the passenger is responsible for, the September 11th Security Fee of $5.60 per one-way trip, per passenger, applicable departure taxes, federal inspection fees, passenger facility charges of up to $18.00, depending on itinerary, and any other taxes and fees imposed by a government entity (U.S. or foreign) of up to $240 based on destination; total may vary slightly based upon currency exchange rate at time of purchase, as well as any fees or surcharges (including without limitation fuel surcharges) imposed by the carrier. U.S. government excise tax is a user tax to pay for airport construction and airway safety and operations. If ticketing is less than twenty-one (21) days prior to departure, a $75.00 expedite charge will apply (waived for AAdvantage® Executive Platinum, AAdvantage® Platinum and AAdvantage® Gold members using Miles from their accounts). A ticketing service charge of up to $40.00 will apply when ticketing via Reservations, American Airlines Travel Center or an Airport Ticket Office. (The ticketing service charge is waived for involuntary changes, reissued tickets, AAdvantage® award tickets issued within twenty-one (21) days of travel and an expedite charge has been collected, AAirpass® tickets, Government/military fare tickets, and prepaid tickets.) Some of these taxes, fees and other amounts may be due upon booking/ticketing the AAdvantage® award travel. American Airlines AAdvantage® Miles awarded in this Sweepstakes will not count toward elite status qualification, AAdvantage Million MilerSM status or any other promotional benefit that American Airlines may offer in the AAdvantage® program. The credited Miles may be redeemed in any manner consistent with the AAdvantage® program Terms and Conditions, which are subject to change at any time without notice and can be found at www.aa.com/aadvantage when you click on Program Details and then click on AAdvantage® Terms and Conditions. Determination of income tax liability on AAdvantage® travel awards is the responsibility of the winner. American Airlines may, among other things, (i) withdraw, limit, modify, or cancel any award; (ii) change program benefits, mileage levels, participant affiliations, conditions of participation, rules for earning, redeeming, retaining or forfeiting mileage credit, or rules for the use of travel awards; or (iii) add travel embargo dates, limit the number of seats available for award travel (including, but not limited to, allocating no seats on certain flights) or otherwise restrict the continued availability of travel awards or special offers. American Airlines reserves the right to change the AAdvantage® program and its terms and conditions at any time without notice, and to end the AAdvantage® program with six months’ notice. American Airlines may make any one or more of these changes at any time even though such changes may affect your ability to use the mileage credit or awards that you have already accumulated. Sponsor is not responsible for any expense incurred as a consequence of a flight cancellation or flight delay for any trip booked with Miles. Travel booked with Miles is subject to availability and certain other restrictions, which are subject to change in the sole discretion of Sponsor.
Privacy: Any information entrant provides to Sponsor or Administrator may be used to communicate with entrant in relation to this Sweepstakes or on a Sweepstakes winners’ list. Except where prohibited by law, acceptance of a prize constitutes each winner’s irrevocable consent to Released Parties, each of their respective agents’, successors’ and assigns’ or other designee’s use of winner’s name, likeness, photographs, voice, statements, opinions, username, Twitter handle, Instagram username, biographical information, prize and/or place of residence for advertising and promotional and publicity purposes in any and all media or format, worldwide, in perpetuity, without any permission, notification, payment or consideration, except for the awarding of the prizes to the winners. Miscellaneous: No transfer, assignment, cash redemption or substitution of prizes will be permitted, except by Sponsor, in its sole discretion, due to prize unavailability or other causes otherwise determined solely by Sponsor, and then for a prize of equal or greater value. Any potential winner will be required to notify Sponsor of prize acceptance by returning an executed and notarized Affidavit of Eligibility, Liability Release and (where legal) Publicity Release within three (3) days of issuance of notification or other time period determined by Sponsor in its sole discretion. If a direct message, prize notification letter, or prize is returned as undeliverable or the prize is declined for any reason, potential winner will be disqualified and, at Sponsor’s sole discretion, an alternate potential winner may be selected by random drawing from among all eligible Submissions received. The Released Parties are not responsible for electronic communications that are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in entrant’s email account to receive email messages. Should a potential winner decide to decline their prize for any reason whatsoever or not respond to the prize notification by the applicable response deadlines, Sponsor shall have no further obligation to that potential winner and an alternate potential winner may be randomly selected from among all remaining eligible Sweepstakes Submissions. Non-compliance with any of the foregoing may result in disqualification and awarding of a prize to an alternate potential winner. The Released Parties are not responsible for any changes to or unavailability of the social media platform used for purposes of administering this Sweepstakes that may interfere with the Sweepstakes (including any limitations, any restrictions, or any conditions on Sponsor’s ability to use the social media platform for the Sweepstakes as set forth herein that are not acceptable to Sponsor) or ability of entrant to timely enter, receive notices or communicate with Sponsor via the social media platform, in which case Sponsor, in its sole discretion, may terminate or modify the Sweepstakes. By participating, entrants agree to be bound by these Official Rules and agree that Released Parties and their designees and assigns and all of their respective officers, directors, employees, shareholders, representatives, agents, and the franchisees of any of them shall have no liability and entrant will defend, indemnify and hold harmless Sponsor, the other Released Parties, Twitter, and Instagram from and against any liability, loss, injury, or damage of any kind (including attorneys’ fees) to any person or entity, including, without limitation, personal injury, death or damage to personal or real property, due in whole or in part, directly or indirectly, by reason of: (i) entrant’s participation in the Sweepstakes; (ii) any materials he or she may submit in connection herewith; (iii) the acceptance, possession, use or misuse of prize or participation in any activities associated with the Sweepstakes or any prize awarded in connection herewith; (iv) the Released Parties’ violation of rights of publicity or privacy, claims of defamation or portrayal in a false light or based on any claim of infringement of intellectual property; and (v) any typographical, human or other error in the printing, offering, selection, operation or announcement of any Sweepstakes activity and/or prize. The Released Parties are not responsible for the actions of entrants in connection with the Sweepstakes, including entrants’ attempts to circumvent the Official Rules or otherwise interfere with the administration, security, fairness, integrity or proper conduct of the Sweepstakes. Sponsor reserves the right, in its sole discretion, to void any and all Submissions of an entrant who Sponsor believes has attempted to tamper with or impair the administration, security, fairness, or proper play of this Sweepstakes and to modify, suspend, and/or terminate this Sweepstakes (or portion thereof) should virus, bugs, non-authorized human intervention or other causes corrupt or impair the administration, security, fairness, or proper play of the Sweepstakes and, in the case of termination, at its discretion, select a potential winner via a random drawing from all eligible Submissions received prior to the event that required such termination and for which the Sponsor, in its sole discretion, deems non-suspect consistent with the format and entry requirements discussed herein. In the event Sponsor or Administrator is prevented from continuing with the Sweepstakes by any event beyond its control, including, but not limited to, fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, communications or equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), interference with the Sweepstakes by any party, or any federal, state, local or provincial government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s and/or Administrator’s control (each, a “Force Majeure” event or occurrence), Sponsor shall have the right to modify, suspend or terminate the Sweepstakes or related prizes. Sponsor and Administrator additionally reserve the right, in their sole and absolute discretion: (a) to modify, suspend or terminate the Sweepstakes should causes beyond Sponsor’s or Administrator’s control corrupt or interfere with the administration, integrity, operation, security, or proper play of the Sweepstakes; or (b) to disqualify any entrant found to be, or suspected of: (i) tampering with the entry process or the operation of the Sweepstakes; (ii) acting in violation of these Official Rules; or (iii) acting in an un-sportsmanlike manner. CAUTION: Any attempt to undermine the legitimate operation of this Sweepstakes is a violation of criminal and civil laws and should such an attempt be made, the Sponsor and the applicable Released Parties reserve the right to seek damages (including attorneys’ fees) and/or other remedies from any such person(s) responsible for the attempt to the fullest extent permitted by law. Released Parties make no warranty, guaranty or representation of any kind concerning prize and disclaim any implied warranty. Without limiting the generality of the foregoing, entrants agree that the Released Parties: (a) maintain no control over the personnel, equipment or operation of any manufacturer or other person or entity furnishing services, products or accommodations (“Suppliers”) as a part of the prizes provided in connection with the Sweepstakes; and (b) will not be responsible or liable for any injury, damage, loss, expense, accident, delay, inconvenience or other irregularity that may be caused or contributed to: (i) by the wrongful, negligent or unauthorized act or omission on the part of the Suppliers or any of their agents, servants, employees or independent contractors, (ii) by any defect in or failure of any vehicle, equipment, instrumentality, service or product that is owned, operated, furnished or otherwise used by any of those Suppliers, (iii) by the wrongful, negligent or unauthorized act or omission on the part of any other person or entity not an employee of the Released Parties, and (iv) by any cause, condition or event whatsoever beyond the control of the Released Parties. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Except where prohibited, entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the state of New York. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrants’ rights and obligations, or the rights and obligations of the Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the state of New York without giving effect to any choice of law or conflict of law rules. The remedy for any claim shall be limited to actual damages, and in no event shall any party be entitled to recover punitive, exemplary, consequential, or incidental damages, including attorneys’ fees or other such related costs of bringing a claim, or to rescind this agreement or seek injunctive or any other equitable relief. The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the Official Rules or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials, privacy policy or terms of use on any website, social media platform or application and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control, and the discrepancy will be resolved in Sponsor’s sole and absolute discretion.
