OPEN TO RESIDENTS OF THE 50 UNITED STATES AND D.C., 18 YEARS OF AGE AND OLDER ONLY

The Contest begins at 12:00 am Eastern Time (“ET”) on March 29, 2017, ends at 11:59 pm ET on July 27, 2017 (the “Contest Period”), and consists of two (2) phases (each a “Phase”). Phase 1 consists of four (4) Challenges as set forth in Rule 1. Phase 2 consists of a virtual showdown (the “Finals Showdown”) as set forth in Rule 5.

1. TO ENTER THE CONTEST CHALLENGES: The Contest Challenges Submission Phase begins at 12:00 am ET on March 29, 2017, ends at 11:59 pm ET on July 6, 2017, and consists of four (4) submission challenge periods (each a “Challenge Period”) as outlined below.

Each Entrant will need an Instagram or Twitter account (each, an “Account”) in order to enter the Contest. If Entrant does not have an Account, he/she can create an Account for free. Twitter’s Terms of Service ( http://twitter.com/tos) and Instagram’s Terms of Use ( http://instagram.com/about/legal/terms/# ), as applicable, will apply to the Account. The Account must be marked as “public” to participate. Message and data rates may apply. Entrant shall check his/her wireless service provider for details on any applicable charges. Entrants are solely responsible for any such wireless charges.

To enter the Contest Challenges, Entrant shall sign into his/her Account and upload either one (1) photo or one (1) video that displays the Challenge Theme (as outlined below) for the applicable Challenge Period including the following hashtags #OreoGames and #Contest (the “Submission”).

Entrant will receive an auto reply comment on the Submission, which will contain a link. Entrant must click on the link to locate his/her Submission within the social gallery. Then follow the instructions to sign-into his/her social Account and complete and submit the registration form including a valid email address. Each Entrant is limited to one (1) Contest entry per Challenge Period.

By uploading the Submission, Entrant agrees that the Submission conforms to the Guidelines and Content Restrictions as defined below (collectively, the “Submission Guidelines”) and that Sponsor (defined below), in its sole discretion, may disqualify Entrant from the Contest if Sponsor believes that the Submission fails to conform to the Submission Guidelines.

If any individuals other than Entrant are mentioned or shown in the Submission, Entrant must have the permission of such individuals (or their parent’s or legal guardian’s permission if individuals are minors, or if required by law) to use their name or image in the Submission. Proof of such permission may be required at Sponsor’s discretion. Entering any Submission further constitutes Entrant’s consent to grant the Sponsor certain rights in, and to the Submission, as described in Rule 7 below. Each Submission entered must meet all Submission Guidelines (as defined below). Entry must be made in Entrant’s name only, regardless of whether others contributed to or appear in the Submission. Only the Entrant who receives an entry into the Contest will be eligible to win a prize. Submissions that are lost, late, incomplete, illegible or corrupted are void and will not be accepted. Submissions that are found to be copies of other Submissions previously entered in the Contest, or to contain content plagiarized from other websites and/or publications will be void and will result in disqualification. Each potential winner may be required to show proof of being an authorized Account holder (the “Authorized Account Holder”).

This Contest is in no way sponsored, endorsed or administered by, or associated with Twitter, Inc. or Instagram LLC. Any questions, comments or complaints regarding the Contest shall be directed to Sponsor (defined below) or Administrator (defined below) and not to Twitter or Instagram.

2. SUBMISSION GUIDELINES : Submissions cannot: (a) be sexually explicit or suggestive, violent or derogatory of any ethnic, racial, gender, religious, professional or age group, profane or pornographic, contain or reference nudity or any materially dangerous activity; (b) promote alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any particular political agenda or message; (c) be obscene or offensive, endorse any form of hate or hate group; (d) contain or reference trademarks, logos (except Sponsor’s or Walmart’s) or trade dress owned by others, or advertise or promote any brand or product (except Sponsor’s) of any kind, without permission, or contain any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses; (e) contain copyrighted materials owned by others without permission; and (f) contain materials embodying the names, likenesses, photographs, or other indicia identifying any person, living or dead, without permission.

By entering the Submission Entrant warrants and represents that: (v) the Submission has not been previously published; (w) the Submission has not received previous awards; (x) the Submission does not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity; (y) the other participants depicted in the Submission, if any, have given written consent to its entry into the Contest and use as contemplated by these Official Rules; and (z) publication of the Submission via various media including Web posting and posting in social media, will not infringe on the rights of any third party. Entrant will indemnify and hold harmless the Released Parties (as defined below) from any claims to the contrary. Any Submission that, in the sole discretion of Sponsor, is deemed to be inappropriate for publication or inclusion in the Contest for any reason will be disqualified from the Contest.

3. ELIGIBILITY: Contest is open only to residents of the 50 United States and D.C., 18 years of age and older as of the time of entry. Employees of Mondelēz Global, LLC (“Sponsor”), HelloWorld, Inc. (“Administrator”), HMT Associates, Inc. Mojo Marketing, Inc., Walmart Stores, Inc., Mirum Shopper, their affiliates, subsidiaries and agencies (collectively “Promotion Parties”), and all respective employees, shareholders, officers, directors, agents, members, successors and assigns of the foregoing (all of the aforementioned referred to collectively, with Instagram, LLC, Twitter, Inc., (the “Released Parties”) and members of their immediate family or persons living in the same household (whether related or not), are not eligible to participate in the Contest. The Contest is void where prohibited by law.

4. CONTEST CHALLENGES – WINNER DETERMINATION: Phase 1 – Contest Challenges also consists of four (4) voting phases (each a “Voting Phase”) (one (1) per Challenge Period) and four (4) judging phases (each a “Judging Phase”) (one (1) per Challenge Period), as outlined below.

a. Voting Phase: During each Voting Phase, Entrants’ Submissions will be posted in an online gallery for public voting at www.oreogames2017.com. Persons who meet the eligibility criteria as set forth in Rule 3 will be invited to vote for the Submission they believe has the most public appeal. Limit: Each person may vote five (5) times per day during each Voting Phase, set forth in the table above. Multiple votes received from any person or email address in excess of the stated number will be void. Any attempt by any Entrant or voter to obtain votes by any fraudulent or inappropriate means, including without limitation, offering prizes or other inducements to members of the public as determined by Sponsor in its sole discretion, by using any automated program, by using multiple/different email addresses, identities, registrations and logins, or any other methods, will void those votes for the Entrant’s Submission and Entrant may be disqualified as determined by Sponsor in its sole discretion. The public vote tallies will be used to determine the score for the Public Appeal (included in the Judging Criteria described below) for each Entrant’s Submission. Entrants who receive a higher number of votes will receive a higher Public Appeal score. Sponsor reserves the right to revise voting tallies or not consider the score generated for the Public Appeal criterion for purposes of determining the winners should the voting appear to have been tampered with or manipulated in any way.

b. Judging Phase: During each Judging Phase, a panel of qualified judges determined by Sponsor in its sole discretion will score all eligible Submissions based on the following criteria (“Judging Criteria”):

Creativity/Originality (25%) – Submission must be smart/creative
Impactful (25%) – Submission must evoke a feeling/leave an impression
Fun (25%) – Submission must be playful/evoke a feeling of joy
Fit to Contest Theme (15%) – Submission must be relevant to the Challenge Theme
Public Appeal (10%) – Submission must solicit votes.
Subject to the Entrant’s compliance with these Official Rules, the entrant with the highest-scoring Submission from Challenge Periods 1, 2 and 3 will be deemed a potential Finalist Prize winner. The ten (10) entrants with the next-highest scoring Submissions from Challenge Periods 1, 2 and 3 will be deemed the potential Second Prize winners. The fifty (50) entrants with the highest-scoring Submissions from Challenge Period 4 will be deemed the potential Epic Fail Prize winners. Each Finalist must participate in the Finals Showdown (as described in Rule 5, below) or Finalist prize will be forfeited .

In the event of a tie, the Entrant whose Submission received the highest score for Creativity/Originality as determined by the qualified judges, in their sole discretion, will be deemed the applicable winner from among the tied Entrants. Sponsor reserves the right to select fewer than the stated number of winners, if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Submissions. Sponsor will not disclose judging scores.

5. TO ENTER VIRTUAL SHOWDOWN: The Finals Showdown begins at 12:00 am ET on June 23, 2017, ends at 11:59 pm ET on July 27, 2017, and consists of three (3) phases (each a “Finals Showdown Phase”) as outlined below.

During the Submission Finals Showdown Phase, Finalists must create a video of their OREO Story-O displaying their “wonderfilled moment” using at least three (3) different OREO products (the “Finalist Submission”). Example OREO Story-O’s include, but are not limited to “favorite OREO memory”, “if the world was made of OREO”. Then, Finalists must use the URL provided in the win email and follow the instructions to upload their Finalist Submission. Each Finalist is limited to one (1) Finalist Submission during the Submission Finals Showdown Phase.

By uploading the Finalist Submission, Finalist agrees that the Finalist Submission conforms to the Submission Guidelines outlined in Rule 2 above and the Video Guidelines as defined below (collectively, the “Submission Guidelines”) and that Sponsor, in its sole discretion, may disqualify Finalist from the Contest if Sponsor believes that the Finalist Submission fails to conform to the Submission Guidelines.

Video Guidelines :

The Finalist Submission must be in avi, dv, mov, qt, mpg, mpg2, mpg4, 3gp, 3g2, asf, or wmv format;
The Finalist Submission must contain at least three (3) different OREO products;
The Finalist Submission must not exceed two (2) minutes (must be strictly adhered to) in length;
The Finalist Submission must not exceed 1GB (1,000 MB) in size.

6. FINALS SHOWDOWN – WINNER DETERMINATION:

a. Voting Phase: During the Finals Showdown Voting Phase, Finalist Submissions will be posted in an online gallery for public voting at www.oreogames2017.com . Persons who meet the eligibility criteria as set forth in Rule 3 will be invited to vote for the Finalist Submission they believe has the most public appeal. Limit: Each person may vote five (5) times per day during the Finals Showdown Voting Phase, set forth in the table above. Multiple votes received from any person or email address in excess of the stated number will be void. Any attempt by any Finalist or voter to obtain votes by any fraudulent or inappropriate means, including without limitation, offering prizes or other inducements to members of the public as determined by Sponsor in its sole discretion, by using any automated program, by using multiple/different email addresses, identities, registrations and logins, or any other methods, will void those votes for the Finalist’s Submission and Finalist may be disqualified as determined by Sponsor in its sole discretion. Finalists who receive a higher number of votes will receive a higher Public Appeal score. b. Judging Phase: During the Finals Showdown Judging Phase, a panel of qualified judges determined by Sponsor in its sole discretion will score all eligible Finalist Submissions based on the following criteria (“Judging Criteria”):

Fun (35%) – Submission must be playful/evoke a feeling of joy
Fit to Finals Showdown Theme (5%) – Submission must be relevant to the Finals Showdown Theme
Public Appeal (10%) – Submission must solicit votes.
Subject to the Finalists’ compliance with these Official Rules, the Finalist with the highest-scoring Finalist Submission during the Finals Showdown will be deemed the potential Grand Prize winner. The Finalist with the next-highest scoring Finalist Submission from the Finals Showdown will be deemed the potential Runner-Up Prize winner. The next Finalist will be deemed the potential Second Runner-Up Prize winner. In the event of a tie, the Finalist whose Finalist Submission received the highest score for Creativity/Originality as determined by the qualified judges, in their sole discretion, will be deemed the applicable winner from among the tied Finalists. Sponsor reserves the right to select fewer than the stated number of winners, if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Finalist Submissions. Prize awards are subject to verification of eligibility. Sponsor will not disclose judging scores.

7. PRIZES AND APPROXIMATE RETAIL VALUES ( “ARV”s ): One (1) Grand Prize (awarded for the Finals Showdown): A $100,000 check. ARV: $100,000. Three (3) Finalist Prizes (one (1) prize awarded for Challenge Periods 1, 2 and 3): A $5,000 check made out to winner and a $100 Walmart gift card (terms and conditions of gift card apply). Winner must participate in the Finals Showdown in order to be eligible to receive Finalist Prize . ARV: $5,100. One (1) Runner-Up Prize (awarded for the Finals Showdown): A $10,000 check. ARV: $10,000. One (1) Second Runner-Up Prize (awarded for the Finals Showdown) : A $5,000 check. ARV: $5,000. Thirty (30) Second Prizes (ten (10) prizes awarded for Challenge Periods 1, 2 and 3): A $500 gift card. ARV: $500. Fifty (50) Epic Fail Prizes (fifty (50) prizes awarded for Challenge Period 4): A $50 gift card. ARV: $50. All prize component details shall be determined by Sponsor, in its sole discretion. Terms and conditions of gift cards apply. No substitutions or transfers of prizes permitted by winner. Sponsor reserves the right to substitute a prize of equal or greater value. Limit: Each Entrant may receive one (1) prize during the Challenge Period Contest and Finals Showdown.

8. GENERAL RULES: All income taxes resulting from acceptance of prizes are the sole responsibility of the winners. If any prize notification is returned as undeliverable, or in the event of non-compliance with any other requirements, the prize will be forfeited in their entirety. By participating, Entrants (and their parents/legal guardians if entrants are minors) accept and agree to these Official Rules and the decisions of Sponsor and Administrator, which shall be final in all matters. Each winner will be notified via email. Challenge Period 1 winners will be notified on or around May 22, 2017. Challenge Period 2 winners will be notified on or around June 5, 2017. Challenge Period 3 winners will be notified on or around June 19, 2017. Challenge Period 4 winners will be notified on or around July 27, 2017. The potential Finalist, Grand Prize, Runner-Up Prize, and Second Runner-up Prize winners (or his/her parent/legal guardian if winner is a minor) will be required to sign a Declaration of Compliance, Liability and Publicity Release within two (2) days of the date on which the first attempted notification was sent. The potential Second Prize and Epic Fail Prize winners will be required to provide their mailing addresses (P.O. Boxes are not permitted) within two (2) days of the date on which the first attempted notification was sent. If the prize/prize notification is undeliverable, or if the potential winner fails to comply with any of these requirements, or with the Official Rules in any way, the prize will be forfeited without compensation of any kind and an alternate winner will be determined from among the remaining eligible Submissions. By participating and accepting prizes, Entrants and winners (and their parents/legal guardians if Entrants/winners are minors) agree to hold the Released Parties harmless against any and all claims and liability arising out of participation in the Contest and use or redemption of any prizes. Acceptance also constitutes permission to the Promotion Parties to use winners’ names, likenesses, and biographical information for marketing purposes without further compensation or right of approval, unless prohibited by law. The Released Parties are not responsible for lost or late mail, or for technical, hardware or software malfunctions, lost or unavailable network or other connections, or failed, incorrect, inaccurate, incomplete, garbled or delayed electronic communications whether caused by the sender or by any of the equipment or programming associated with or utilized in this Contest, or by any human error which may occur in the programming of this Contest. If due to a computer programming or other error, more prizes are claimed than intended to be awarded according to Rule 5 above, prizes will be awarded in a random drawing from among all valid prize claims received. In no event will any of the Released Parties be liable for more than the stated number of prizes in Rule 5 above. If, in the Administrator’s opinion, there is any suspected evidence of tampering with any portion of the Contest, or if technical difficulties compromise the integrity of the Contest, the Administrator reserves the right to modify or terminate the Contest in a manner deemed reasonable by the Administrator, at the Administrator’s sole discretion. In the event a dispute arises as to the identity of a potentially winning entrant, such dispute will be resolved by identifying the Authorized Account Holder. All federal, state and local laws apply.

9. RIGHTS IN SUBMISSIONS: In consideration of entrant’s Submission being reviewed and evaluated for this Contest, each entrant hereby grants to the Sponsor a non-exclusive, irrevocable, fully paid, universal license to use, copy, sublicense, transmit, distribute, publicly perform, publish, edit, delete or display such Submission, or any portion thereof, in any media now known or hereafter devised including, but not limited to, all forms of television and all forms of internet and wireless protocol without limitation and without any further right of approval or compensation. Each entrant authorizes the Sponsor and any entities affiliated or in privity with the Sponsor, to utilize, for eternity and in any manner they see fit, the Submission submitted to Sponsor and to make derivative works from such material. Each entrant agrees that the results and proceeds of such use shall become the property of Sponsor and/or Sponsor’s licensees, and shall be freely assignable by Sponsor and that the Promotion Parties and their assignees and licensees shall have no obligations whatsoever to entrant. Sponsor is not obligated to use any of the above-mentioned information or materials, but may do so and may edit such information or materials, at Sponsor’s sole discretion, without further obligation or compensation. Each entrant releases the Released Parties, from any and all claims or liability (now known or hereafter arising), including, but not limited to, any claims for defense and/or indemnity, in connection with the Contest and the use or misuse of any prize. Each entrant agrees and acknowledges that participation in the Contest, including, without limitation, the entrant’s decision to provide the entrant’s Submission to Sponsor for purposes of the Contest, shall not give rise to any confidential, fiduciary, implied-in-fact, implied-in-law, or other special relationship between the Released Parties and Entrant, does not place the Released Parties in a position that is any different from the position held by members of the general public with regard to elements of the entrant’s Submission, and that the only contracts, express or implied, between the Released Parties and entrant are as set forth in these Official Rules. In addition, by participating in the Contest, each entrant hereby grants permission for the Promotion Parties to use Entrant’s name, likeness, voice, quotes, comments, biographical information, and/or image for the purpose of advertising, trade, or promotion without further notice, permission, compensation or consideration in any and all media now known or hereafter developed throughout the universe, unless prohibited by law.

10. WAIVER: By entering this Contest, Entrants (and their parents/legal guardians, if applicable) waive all rights to claim punitive, incidental and consequential damages, attorneys’ fees or any damages other than actual out-of-pocket costs incurred to enter the Contest. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. Any and all disputes, claims, and causes of action arising out of the Contest must be resolved individually without resort to any form of class action. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with this Contest, shall be governed by, and construed in accordance with, the laws of the State of Michigan, without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Michigan.
